Extend Thinkwalks fiscal sponsorship?

Hey folks!

We are reaching the end of the period covered by our agreement for Musick to be the umbrella nonprofit for Thinkwalks. Is everyone fine with renewing it? The last two agreements were for 3 years. Should we do that again?

Since I’m handling documentation and some of the financial chores for that relationship, the percent Musick gets of each grant/donation for Thinkwalks is only 2%. Is that okay still?

My thoughts and concerns at this moment re thinkwalks fiscal sponsorship:

Cost of admin/bookkeeping/filing taxes has grown.  I think we should consider increasing to 3% moving forward.

Lack of visibility into think walks transactions:  As we grow and continue to manage govt contracts the likelihood of an audit increases.  At this point there's very little visibility into what thinkwalks actual activities are related to the income and expenses that flow in and out of our books.  If we move forward with sponsorship we should increase reporting from TW including p&l level income and expense reporting vs the current accounting of just money in and money out.  Technically the board is on the hook to know what the org is spending money on.  

I know the relationship with Joel has been important to the growth of Musick and I don't mean to disrupt this...  I believe we are now at a point where we need to formalize things a bit more.

I am certainly willing to boost it up to 3% if you think it’s justified, but in fact Matthew has required me all along to provide receipts for every payout, so what you say about “little visibility” is untrue. I have done all the paperwork and put all the receipts in the proper folders of the shared Google Drive every time and right on time! I’m not sure what more I would be able to provide. I also send out the tax letters myself to all my donors.

I'm glad to hear that you've been providing receipts to Matthew — I wasn't aware of it. I just want to be sure we are all aware of Thinkwalks' activities in the same way that we are aware of Musick's. Beyond the fiduciary responsibility Jemmy, Oyang and myself have to do so as board members, it's simply good practice as we grow and take on more government contracts. An audit could come at any time, and the board needs to be able to speak to what flows through our books.

I don't want this to feel adversarial — the relationship with you and Thinkwalks has genuinely mattered to Musick's growth. I'd just like to use the renewal as an opportunity to formalize things a bit: clearer P&L-level reporting from Thinkwalks, and moving the sponsorship fee to 3% going forward. Happy to talk through all of it Thursday.
