Conversion of CA firm into LLP

Hi,

My client wants to convert Chartered Accountant firm into LLP. Noc and name approval letter has been received form Institute.

However we have received an unusual resubmission query from ROC in form 1 as mentioned below:

" r conversion of firm to LLP is not with applicant "

Can anyone tell me what is this query.

also firm is not registered. Since it is Chartered firm conversion into LLP does it need to be registered? or unregistered firm can be converted into LLP.

Please ping personally if anybody is well versed with the procedure.

Kindly clear my doubt that only registered partnership firm (whether Professional firm or any other firm) can be converted into LLP or the mandatory registration is required only for the professional firms.

Registration of  Firms  ( Professional  or otherwise ) with registrar of firms  is mandatory in all states  except  Maharashtra and Gujarat

for  conversion  of   firm into  LLP,  firm   has  to be mandatorily   registered  .  If it is not it can not be converted. 

Since in your case    as firm is not registered , ROC  would have written the above  remark.
