In Separate meeting of Independent Directors, BSE Intimation

Dear Experts,

In separate Board meeting of Independent Directors, whether the intimation to BSE/NSE is required as pet the Listing Agreement ?

I didn't find any clause in Agreement.

However, many companies are giving intimation to Stock exchange.

This is the requirement of CA 2013

Nothing to do with SEs

As this meet cannot take decision affecting shareholders there is no need to intimate

However, I find one company has intimated meeting dated 17.03.2015 of IDs only.

The listing agreement also has the separate meeting clause in the revised listing agreement.

But the company need not have to intimate the SE. It can carry out the separate meeting compliance , but the next point which comes to light is. As this is a performance evaluation meeting. Will the company minute the meeting proceedings?

We cannot say that separate meeting of ID's cannot have any impact on shareholders.

If suppose in the meeting there are some negative remarks on either MD/WTD, then it will have huge impact.
