Dear members,

 

One of my client, a shareholder in a private limited company, has sold some shares to a non-resident individual. I understand that the company will be required to file Form FC-TRS with the Authorised Dealer. Further, the said FC-TRS form can be filed online at the e-BIZ portal. In this regard, I just wanted to check if any underlying document is required to be attached to the FC-TRS form. Any inputs will be highly appreciated.

But that's a long list of documents, most of which are not applicable in my case. Is there any mandatory attachment?

Cs certificate is mandatory. For other documents to be attached, it depends on case to case

Request you to share whether the transfer is from resident to non resident and nature of party to transfer i.e. individual or Company. Depending on same can assist you further.

Firstly FC-TRS required to file through AD by uploading on E-Biz Portal.

Mandatory Documents,

1. Share Purchase Agreement

2.Buyer Consent

3. Seller Consent

4. Valuation Report

5. Declaration from buyer that he is eligible to buy shares.

6.FIRC and KYC

7. Share holding Pattern of Investee Company.

No not mandatory. Even consent letters from buyer and se3ller would do.
