in-principle approval on new issue of share

Dear All

A listed company whose equity shares are listed on Bombay Stock Exchange, want to issue preference share on private placement basis without listing and without in-principle approval.

whether it is possible or not bcoz Clause 24(a) of listing agreement require in-principle on further issue and on new issue ??????

i am very confused in the matter plz give your valuable suggestion.

You can issue Unlisted Preference Shares even if Equity shares of Company are listed.

Also Clause 24(a) is of Equity Listing Agreement, and hence it talks about new issue of Equity shares.

Refer NRB Industrial Bearings Limited  - Annual Report and it is in process of issuing unlisted Pref Shares..

It is listed on NSE and you can get the  Annual Report for 2014-15 from its website.
