IS DIR 11 Mandatory for the Resigning Director who was Appointed before 1/04/2014 but is Resigning now.

This is very urgent plz help me out.

If Yes plz provide me the formats to be filed with ROC

Dear Mr. Rakesh,

Yes, it is mandatory to file Form DIR 11 for those director resigning after 1st April 2014, irrespective of their date of appointment.

And my one more question is will director himself will be filing it or any professional can file it on his behalf.

One of the mandatory attachment in the Form is Proof of dispatch, hence please try to avoid handing the letter in person. For more clarification, you might contact the ROC.

Further the director resigning himself can only file Form DIR-11, and no professional can file it on his behalf. Hence, the resigning director should have a DSC to file the form. Otherwise, first step should be to apply for a DSC.

i had called mca corporate seva kendra as , ineed to resign on of my directors on 31st march 2014. . they informed its not required. just a decalartion is required from the existing director that all requirements are complied with further on resignation , just mentioned that received by hand on .......... 2014.  and board resolution attachment is required.

with all this i filed form  , and it was approved

I agree with your point, but the date of resignation in your case is prior to 1st April 2014. Mr. Rakesh's query is regarding resignation after 1st April 2014. Hence, DIR-11 is required to be filed.

The applicable provisions are effective from 1st April. It never touches things happened before that. Only thing, we have to use new e-forms.

This  is  what informed for  one  foreign  director  resigned  for  which  infosys  has conveyed  that  DR 11  is  not  applicable  since  the  resignation took  place before 1st  april   2014
