Kindly provide me the documents for change of name of pvt company for reference purpose...

please tell the procedure as well

Hi Meenakshi,

For name change of a private company, first you need to apply for name approval through RUN. Attach a Board Resolution of the Company for whose name change you have applied. If there is any similar Trademark of some other entity, then you will have to attach NOC, Board Resolution (if it is a company) and their KYC. The name once approved will be valid for a period of 60 days.

Send notice of EGM along with the explanatory statement. Conduct EGM and pass a special resolution and alter the name clause in the MOA and also the name in the AOA. File MGT-14 with Notice and Explanatory Statement of EGM along with the certified true copy of the special resolution, Altered MOA, AOA. Please don't forget to add footnote along with the signature of the directors in the altered MOA and AOA.

After MGT-14 is filed, prepare INC-24 and attach Notice, Explanatory Statement, Extract of the Minute of EGM, Altered MOA and AOA, Affidavit and Declaration from the Director as per Rule 29 of Companies (Incorporation) Rules, 2014. Please note that INC-24 has to be filed after MGT-14, as the SRN of MGT-14 has to be mentioned in INC-24.

Hi.. Regarding change of name

Roc has sent MGT-14 for resubmission stating previous/old name is not mentioned in altered moa and aoa...
I dont think it is required.
If we need to then pls let me know where to be mentioned in both altered moa and aoa
