I am not allowed to delete the directory with the error
that another user or program is using it. That's not
true as far as I can tell. In properties, it's marked as
read only and even if I remove that, it puts it back in
by itself.
I've checked on the MS website to make sure this isn't an
MS file and it isn't. What is it and how do I get rid of
it?

That read-only checkbox is not the read-only attribute,
as on a directory it is only there to set or unset the
attribute on contained files.
The xerox directory is part of the standard XP install,
at least if you mean the one in Program Files.

The xerox folder (and nwwia )is for support of a Xerox scanner - if you
had one, it is a protected system file, so you "cannot" remove it.
It is probably empty and should not be a cause for concern.
