You can check that your version of Windows Installer is 3.1.4000.4039 by
typing at the Start menu Run "%systemroot%\system32" and then select the
file "msi.dll" . Under File|"properties" for this file you can see the
version number. In case it is not 3.1.4000.4039, then first install security
update KB927891 : http://support.microsoft.com/kb/927891 .
Try installing iTunes offline by clicking on "Save" when the download
confirmation box opens. Turn off your antivirus program and run the
standalone installer by browsing in "Start|Run" . Tell us if this helps or
not.

Certainly not to advertise here, but actually resorted to calling
1-800-PC-SUPPORT
(1-800-727-8776)...a technician worked with me for over 2 hours running all
sorts of diagnostics against my machine and eventually finding the Spyware
that was the culprit.
