If employee appointed as director without remuneration, whether section 314 , Place of Profit applies?Please any one clarify.

As a employee he gets a remuneration, but as a director he will not get any remuneration.

yes  employee appointed as a director comes into whole time directorship as well as if he has relative of director, then section 314 will apply.

If the employee of the company appointed a  director without remuneration  in another company then the section 314 will not apply.

Section 314 doesnt apply to the case !!

But it is clear from the query that, he bieng an employee he is
getting the Salary and if he is appointed as the director then the
provisions will apply as if he is getting this salary as director.then
provisions of director remuneration 198, 309 shall apply
