1. Name Search
The first part of the company registration process is the name search.
At this stage, you submit Company Regiftration Form 21 (C.R. 21) with
a list of at least three name options you would like considered for
your company. You should list them in order of preference, as the
registrar will consider the second name should the first be
unaivailable or deemed close to a registered company, and the third if
the second is rejected and so on. Hence, it is always advisable to
list up to seven names in each search.
After submission, the register will take up to three working days to
approve or reject the names.
2.Submission of Memorandum & Articles of Association, CR14, and CR6
The approved name will be reserved for two months, within which time
period you are expected to lodge the Memorandum & Articles of
Association along with company registration forms 6 and 14 (CR14 &
CR6).
a. The Memorandum of Association details your company's trading
objectives, this defined in clauses such as the one examplified below:
(e.g. To carry on the business of printers, publishers, stationers,
engravers, book binders, booksellers, advertising agents and dealers
in or manufacturers of any other articles or things of a character
similar to the foregoing or any of them connected with the printing or
publishing trade;)
Your company can have as many clauses proposing different lines of
business. As evident from the above example, each clause allows the
business to take up a number of related activities. At Wealth

clauses defining an equal number of business groupings that your
company may venture into.
In addition, the memorandum of association also defines the nominal
share capital and your company's shareholding structure.
b. The articles of association generally remain unchanged for any
organization. These define the regulations binding your company's
operations in matters pertaining to transfer of shares, increasing
capital, proceedings at general meetings, accounts and record keeping,
as well as the powers of the directors to name a few.
c. The CR14 lists the directors in your company, their national
identification numbers, nationality, and residential addresses.
d. The CR6 serves to notify the registrar of your company's physical
and postal addresses.
These documents will be approved within three working days, following
which you will be issued your Certificate of Incorporation. At this
point, your company is fully registered.
