YBA Operating Agreement (Bylaws)

Our original operating agreement from 2013 is attached. NOT including amendments. The PDF scanned version is the original, which was a slightly modified copy of York Investment Club's bylaws (old farts).

The attached Word version is an OCR of the scanned PDF version. It's good, and I manually scanned it for errors, but you may find mistakes. This Word version is useful for "ctl-f" searches like "gender" "male" "female", etc (no results for any of those). If you search for "tuesday" you'll find the definition or our monthly meeting date.

I think Medlin once put together all the amendments when he was club Sucktretary, I will try to find them when I'm back in town tomorrow.

Voting:

Simple majority of members present, EXCEPT changes to membership or bylaws require approval of 75% of members in good standing.

Article 13 disallows proxy voting, "must be present to vote". Except I think we have an amendment to allow voting by text/email during the meeting, however it must from the member and not a proxy (spouse, bestfriend, butt-buddy [perhaps all three]).
