I can get you access to the Private Proposal as needed.

As far as the changes, they are proposing a retroactive refund of $5,510. For changing last years fees from 12% to 8%.

Then moving forward they are proposing 7.5% fees starting January 1st 2022. This would change future fees from 12% to 7.5% including anything retroactive to January 1st.

Evergreen Collective is planning on spinning off at sometime, it is just not known when that will be, but under our policies it could be at anytime.

The only thing missing from the proposal is the link to the verification of their Leadership Team decision, but I’m sure Joel will get that, so we can begin discussing and making decisions on this proposal.

Reminder that Official decisions are 0-9, and our goal is consensus, which is minimum average 6.5 and up.

I will leave my comments and opinions for my next email.

My Thoughts on the proposal are as follows.

1) Retroactively proposing to get money back is very odd. Also I believe under our policies we can agree to move forward with changing the sponsorship proposal to 7.5% without the retroactive refund without having to end sponsorship. I don’t think anyone has a right to force our hand on retroactive refunds, it is defiantly not in our policies. Our policies are for future changing of sponsorship admin fees. 

With that said, in my opinion it is kind of a unprofessional move to have a 0.5% difference between the retroactive refund and the future % admin fee. What that says to me is that they felt they could swindle us out of an additional 0.5% just because.  It really doesn’t make any sense. When I asked why, and what the justification for that was, the response was “It’s to account for the inconvenience to WCTC of requiring a change in terms of retroactively.”   That doesn’t make any sense and so I call BS for sure. The proposal is for us having to pay $5,510 refund to their program. The justification should be for the refund, instead they said that the 0.5% is for a net benefit to WCTC, that is very odd and doesn’t make any sense.

2) As far as the % fee goes, which would be 7.5%, that is half way between 5% and 10%.  Based on our history and current relationship with Evergreen Collective, this is not entirely far fetched. My biggest concern is actually that they want everything Private. I hate that because it doubles the amount of work that has to be done, including an entire new corporation and taxes. So that is why the % admin fee should be doubled form what WCTC Transparent programs should get. So if they are asking for 7.5% for CCC, then they are actually proposing 3.75% from WCTC. That is NOT fair per say, but either way the actual amount is 7.5% so we have to factor that in. This would be the first program under CCC, and I’m always a pushover for 1st.

I think that is it just the 2 thoughts. So options for moving forward are pretty simple…

Option 1) Proposal: Vote NO and force a Spin-Off because the % fee is too low and it is not cool to ask for a refund.

Option 2) Proposal: To clarify our policy that Changing % Admin Fees is specifically for future % fees after the new Sponsorship Proposal is approved. This is already our policy, but we can clarify that if there is retroactive refunds requested, they are considered as separate proposals, and so we can vote NO on the refund, and yes to moving forward.


Option 3) Based Option 2, with the information I have now, and expecting confirmation that their board approved this proposal, I would be willing to Vote YES - 7 ONLY on the 7.5% moving forward. I feel that is fair, and is within policy. Then we would simply vote NO on the refund, based on Option 2, and that would be that.

So to clarify the Proposals:

Proposal 1 : To Update WCTC Policy on Changing % Admin Fees through re-proposing Sponsorship to specifically be for forward changes based on date WCTC Board finalizes the decision. Any retroactive proposals or refunds can be included and proposed, but will be voted on separately and approved separately from the future % fee changes.

Proposal 2 : To APPROVE Evergreen Collective proposal to retroactively refund the $5,510, change from 12% down to 8%. 

Proposal 3: To approve Evergreen Collective new Sponsorship Proposal that all grants received after the new sponsorship Proposal is approved would be based on a 7.5% admin Fee. 

Proposal 4: To NOT approve the Evergreen Collective new Sponsorship Proposal and automatically initiate the spin-off Process. Their admin fee would stay at 12% until the spin-off process has concluded.

Proposal 2: I vote NO - Negative Abstention - 4
Proposal 3: I vote YES - 6.5
Proposal 4: I vote NO - 2
