Proposal to approve Official WC.TC Board Letter to the BAC Board

Heather & Mel,

I have been working very hard for over two weeks, as much as 20 hours per week, focusing on dealing with way too many issues, that have seemingly been caused from Patrick not working and collaborating with me and instead taking his differences, and disagreements into getting separate sponsorship from other non-profits and excluding myself and Mel from all communications regarding the BAC Council & Board creation. We are finding out so much information that was simply kept secret from us, it is kind of overwhelming.  I was not even aware that the BAC Board was even functional, nor that it was having meetings until last week. And I just yesterday got the very first BAC Board meeting minutes from their first meeting which already happened. The next BAC Board meeting is on the 26th of August, and so I have been working overtime to try to prepare everything to full empower and integrate the BAC Board collaboratively with the non-profit umbrella. Once that happens we can start addressing a half dozen issues, from structure, insurance, legality, policies and more… that have been caused from this miscommunication and divergence in agreement between me and Patrick. I still have hope that everything can be worked out, but I am prepared to propose that Bay Area Create spin-off immediately if they are not able to make joint decisions in the best interest of the entire umbrella non-profit. 

The focal point of all my work is in an official letter from the WC.TC Board to the BAC Board that explain all of our policies and procedures regarding joint-boards and how they will be empowered within the corporation, and how with that power comes accountability and liability. There is no other way around it. 

So the proposal to both of you is to approve the official letter, and then for us to send it to the entire BAC Board before their meeting on August 26th so they can prepare and plan as much as possible ahead of the meeting. So I hope to get this letter approved ASAP, hopefully within the next 24 hours so we can get it sent out ASAP.

Feel free to make any changes you would like. I believe it is very professional already and details a lot of steps they need to take to become fully functional.

Attached to the letter are dozens of pages of documents that I created including policies, information, records, and more to help support the establishment of the new board. It was an unbelievable amount of work. By approving this letter, you are by default approving all of the attached documents and updated bylaws, and other information connected to this, but we will go over all of it as needed later.

Overall nothing much is changing regarding the official policies, but what we are doing is acknowledging that BAC and its programs and projects is not as big, if not larger than the original non-profit that it was sponsored within, therefor it deserves, and is automatically granted equal powers within the corporation based on our existing policies, as long as they meet the criteria, follow our policies, and agree to operate in the best interest of the corporation and the law. 

So the proposal is…
