Official Letter from WC.TC Board to BAC Board

Patrick,

I understand your reasoning behind not allowing us to communicate with anyone on the BAC Board. I too agree that we should empower and support the BAC Board to be fully independent and to function resiliently as a self empowered decision making body. But I disagree with postponing basic communication, and I am excited to move forward after the Aug 26th meeting with at least one contact.

We have prepared an official correspondence and it has been approved by the WC.TC Board. My hope is that this can help explain and empower the BAC Board with more details to answer as much of the questions that you are getting from them.

We hope you will share it directly with them, but it should be very informative to you to help you answer more questions even if you do not share the entire letter. If you have any questions you can talk with Mel, as I will be away through Tuesday. I would love to set up a time for me and you, and maybe Mel, to sit down for 30min-1hour to go over everything before the Board Meeting on the 26th 2018.

I would encourage the BAC Board to not focus on the issues or hurry though them, and instead to focus on the basic functioning and getting set up. I am worried that if the Board makes what it feels are final decisions at the August 26th 2018 meeting without basic communications with the non-profit umbrella, it could actually exacerbate and make the issues worse rather than actually attempting to solve the issues. It is up to them to do what they feel is best, but hopefully they are considering their responsibility and doing what is best for the whole community. I’m sure it will eventually work out, and having discussion and answering questions to get everyone more on the same page always helps.

Anyways, in terms of moving forward, I have worked over 20+ hours this week, and about the same last week in getting all the information ready for the BAC Board. My goal was to communicate directly with them, but as that is not a possibility at this point. So I am passing all of this information off to you, and you can do what you will with it. I certainly hope you will choose to send it all to the BAC Board, but it is up to you. Hopefully this will help establish understanding, and then we can move forward with basic communications and building the relationships necessary to run the umbrella non-profit corporation all working together.

Bay Area Creative & Board,

The WCTC Board has voted to initiate a spin-off and split-apart process immediately. 

There is no set timeline or date yet, it could be weeks, or months depending on how we work together. This decision and spin-off does NOT affect programs directly, and any program would be spun off in a separate decision with separate communications.


Also I would bring your attention to this paragraph in the email from the first letter:

This is exactly what did not happen instead Patrick responded "We were able to discuss and come to consensus on all of the issues presented to us in the letter from the WCTC board.” Which implies that the decisions are completed, and in our perception before even basic communications had begun, furthering the divide.

Still there has not been any communication from the BAC Board, we are waiting, and are open to mending and brining BAC back into the umbrella, but only based on collaborative and cooperative communication to follow all necessary legal and policy frameworks.

These are just a few of dozens of reasons why we are moving forward with the splitting apart, but overall we believe that it is the best solution to bring the maximum flexibility and empowerment to all parties involved, and is the best way to get a win/win situation as quickly as possible. 

The more collaboration and cooperation on moving forward with the spin-off and split-apart the better for all parties involved. So lets use some of our call this afternoon to work though some options.

I want to be clear that is was the BAC board's decision to wait on contacting WCTC It was not my call. I have forwarded them this email so they can get a sense of who you are, what your intentions are and to read the letter prepared by WCTC.
