So just a quick update, primarily for heather.
Bottom line, everything is moving forward and we have a few options and proposals to make to finalize the spin offs.
Additionally we have to decide what to do about the % admin Fees. The way I feel is that Patrick is manipulating and deciding us with limited information to purposefully reduce and eliminate all fees that he possibly can. I am disgusted by it and feel that he is not being genuine and meeting the policies nor basic fiduciary obligation to the organization and support he gets. He is just constantly pushing and attacking to go out of his way to eliminate paying the costs and value that is owed, and I simply don’t feel good about it at all. Since he is actively battling against the umbrella non-profit, in my mind where I am at now is that I think that we should go on the offensive, instead of endlessly being on the defensive. We are talking about as much as $7,000 possibly more even around the $10,000. 3% is nothing but over a decade it adds up, and in my personal opinion he is not be fair or equal and we should fight back. We would also go into an email to BAC / DS, that we could edit together. (Note this is NOT an official Board letter, just from me as chair) We can do an official board letter when we approve the new policy proposal. Here is the link to the draft Email to edit:

So a few proposals we can vote on for moving forward are:
- Finalize the Digital Storytellers spin-off date for December 1st 2018
- Make a new policy that states that we can actively increase admin fees for programs not following policies, especially when intentionally or unintentionally deceiving the umbrella non-profit which undermines all other programs. These increased admin fees can only be approved by the Council of other programs agreeing, and / or a sub-board that oversees the program being asked to pay more % fees as punishment.
- Do we want to propose an invoice to BAC Board for back admin fees? If Patrick steels the one that we are saying is admin fees, are we prepared to take BAC to court to get it back? We have a legal right and contract to revive these admin fees.
- We have not gotten written proposals from DS yet, but they are planning on proposing eliminating all fees for passthrough money on EdFund and also summer program fees. This could add up to many $1,000’s.
