Next Steps and Moving Forward

Hey all,

I haven’t heard from anyone for a while so I am just stepping in to move things forward as there is no reason to wait. Last I remember it, Mel was going to make some proposals. I feel the proposals are very simple and of course anyone is welcome to amend or propose alternative options. In my perspective WCTC board approved min $2,000 based on 3% of all donations,and Digital Storytellers approved max $500 based on 0% for all outstanding donations. So that makes the options simple and clear. $500 - $1,000 - $1,500 - or $2,000.

The question is what amount is fair. I feel that WCTC board has voted on this at least 3-4 times and the agreement currently is $2,000. I feel that it could be possible to bring that number down some, but at this point that hasn’t happened. So my recommendation is that it is time to present the options and information to BAC board and let them vote and then we can wrap this all up.

The BAC board are the only ones who have not voted on this recently. I would like to know when Erika would be available to talk on the phone as I feel it would be fair to hear both sides before making a final decision. I feel we still did not finish our conversation from many weeks ago now where we all agreed to continue the conversation. I would be happy if just Erika was on the call but if we could just do that or be able to present to the entire BAC board before they vote, I just feel it is important that both sides can get present not just one side. That is it and we can have this all wrapped up very soon, maybe within 2 weeks. :)

Looking forward to getting this all wrapped up. We are so close.

Hello all,

Does a phone call on Thursday or Friday work for people? I will be on site those days until 4 00, so I can do a call anytime between 4 00 and 6 00.

We can bring this matter before the BAC board at our meeting on Dec 9th to discuss the proposals that are on the table, a phone call with anyone from the BAC board other than Erika is not a possibility.

I know that Mel was working on the proposal of the $500 flat rate for BAC to offer to WCTC, I'm sure she just got busy and will submit the proposal in the near future. Mel, do you have a timeline for the submission of this proposal?

Just for clarification the next steps are:

Mel presents the proposal for the $500 flat rate to be offered to WCTC

2

WCTC board votes on this proposal

3

BAC board votes on the $500 and the $2,000 proposals.

4

Depending on if consensus is reached the DS bank account is moved from the WCTC EIN to the BAC EIN.

Does this sum it up?

Also for clarification, it was stated by WCTC in the last call that the BAC board did not need to take any action in regards to this. I believe that it is necessary for the BAC board to weigh in on this and am glad to include them in this vote.

1. We will have to wait to hear from Mel

2. WCTC board has voted at least 2-3 times on how much BAC and DS should pay, so this is nothing new

3. BAC can vote on any amount they feel is fair including $500, $1,000, $1,500, or $2,000 or even more. They should not be limited to just the high and low.

4. DS can already move the money, minus the $500 that was committed, to the new EIN BAC account. That has already been addressed.

5. I never said that BAC did not need to vote on anything. All I said is that if and only if WCTC Board passed the $500 proposals, which they have not, then and only then would it no longer be necessary for BAC board to weigh in.

I simply would like to follow up with Erika from the previous call and make sure that my perspective has been herd, as I do not feel that it was shared with her. Then she can transfer that information to the rest of the BAC Board.

This should all be very simple moving forward we just need to hear from Erika for when she is available.

I personally can not think the I would need any more than 5-10 minutes to share my perspective with Erika. That is all I am requesting.
