Washtenaw Bicycling and Walking Coalition Annual Membership Meeting

 

Don't miss the Washtenaw Bicycling and Walking Coalition Annual Meeting on Thursday, November 4th. We have a great program planned for the evening. In addition to board elections and a few business items, which we promise to make brief, we have three wonderful guest speakers lined up for the night:

 

- Rob Pulchpher will discuss his recently released book Dirt Road Washtenaw, http://dirtroadwashtenaw.com/

- Common Cycle - Board members of Ann Arbor's innovative bicycle repair collective will discuss their recent accomplishments and what they plan to do next. www.commoncycle.org

- John Lindenmayer - Associate Director of the League of Michigan Bicyclists, will discuss LMB's current initiatives, www.lmb.org

 

Everyone is welcome to attend. Take advantage of this great opportunity to learn more about the WBWC, enjoy a great hang with other biking and walking advocates, and maybe even, learn something new.

Proposed Amendment to Amendment Procedure for WBWC Articles of Incorporation

 

WBWC Members: Below is a document describing a proposed minor change to the procedure for amending the Articles of Incorporation of the Washtenaw Bicycling and Walking Coalition (WBWC).  The purpose of this amendment is to correct a clerical error that occurred in presenting amendments to the Articles at the 2009 WBWC annual meeting.  This proposal will be voted on at the WBWC annual meeting on November 4, 2010.

Proposed Amendment to Amendment Procedure for WBWC Articles of Incorporation

Revised September 22, 2010

 

This notice describes a proposed minor amendment to the Washtenaw Bicycling and Walking Coalition (WBWC) Articles of Incorporation. The proposed amendment would change the procedure for amending the Articles. This proposed amendment will be voted on at the WBWC annual meeting on November 4, 2010. Notice of the meeting time and place will be sent separately from this notice.

 

At the 2009 WBWC annual meeting, amendments to the Articles of Incorporation were acted upon to make WBWC eligible for designation as a tax-exempt 501(c)(3) non-profit organization. Due to a clerical error for that meeting, the copy of the amendment procedure which was sent to members before the meeting (which was correct) was different from the copy which was brought to the annual meeting (which was incorrect). In an effort to make the erroneous copy presented at the meeting make more sense, those at the meeting changed the amendment procedure that was presented and passed it with

the changes.

 

Since it seems that the original version sent out is preferable for several reasons to what was improvised at the meeting, it is proposed that the amendment procedure be restored to what it was intended to be, as shown below. The proposed wording will correct the substantive, procedural, and typographical problems with the improvised wording. (It should be noted that Michigan’s Nonprofit Corporation Act already allows electronic notification regarding proposed amendments, so that provision of the improvised wording is not necessary.)

 

“Article 7 -- Amendments” as improvised at 2009 annual meeting:

These Articles of Incorporation may be amended by either written consent of two thirds of themembers [sic] or by a two-thirds vote of the members present and voting at a duly called membership meeting. Copies of proposed amendments shall be sent to the members [sic] Copies of proposed amendments shall be sent to the members via electronic or other means, at least 20-business [sic] days prior to the proposed [sic] membership meeting called for the purpose of amending these by-laws [sic].

These Articles of Incorporation may be amended by either written consent of two thirds of the members or by a two-thirds vote of the members present and voting at a duly called membership meeting. Notice of proposed amendments shall be sent to the members at least three weeks before the meeting at which the amendments are to be considered.
