Vinyl Operating Agreement Update ***ACTION REQUIRED***

Hi everyone!

I hope everyone is doing well these days! I wanted to send out an updated email about Vinyl to let everyone know what Brianne, Mike and myself have been working on since we were Greenlit on Steam. Here is a short list of what we’ve been working on, where we’re at now and what we all need to do next.

What has been done:

  1. Renewed the domain name thevinylgame.com
    1. $15 for another year (Next renewal date: March 18, 2016)

  2. Renewed our business licence with the State of Utah
    1. $35 for another year (Ends April 19, 2016)

  3. Rewrote the Manipulation Machine, LLC Certificate of Organization
    1. Made amendments from having everyone on it to just Mike, Brianne and Zeph.
    2. $17 for filing with the State of Utah

      This allows us to only need a small amount of  people to sign rather than tracking down the entire team every time we need a business decision or financial decision made.

  4. Set up a bank account with Wells Fargo
    1. $100 to open account
    2. Added Mike, Brianne and Zeph onto the account
      1. Two Visa Debit Cards were sent out to the team.
      2. Bank account is live

  5. Added the bank account info and the LLC info to the Steam Partnership Site
    1. Successfully became a partner with Steam
    2. Gained access to the SDK

  6. Drafted the Manipulation Machine, LLC Operating Agreement (Finalizing)
    1. Defining Roles (Finalizing)
      1. Managers
      2. Non-Voting Members
      3. Waive Rights
    2. Share Splitting
      1. Management/Non-Voting Members

Where we are at now:

So now the bank account is ready, we have everything we need to start inputting meta data, descriptions, videos, etc into our Steam Greenlight Account. What we still need is to input the SDK that we got from Steam into our code so that we can pick a release date and eventually make the game live on Steam. What we are currently working on is finalizing our Operating Agreement paperwork which defines each of our roles on the future development team from this point forward. Doing this Operating Agreement allows everyone that wants to continue to work on the game (and is allowed to) the opportunity to still be involved with the game and make future decisions. This group will be part of The Management Team. The Operating Agreement also allows for those that can’t work on the game due to work, contracts, too busy, or whatever reason, to not have to be involved in the future dev process at all but will still get full credit for developing the game.  This group will be called the Non-Voting Members. Once we find what role everyone would like to be, we can finalize our Operating Agreement and the Management Team can begin implementing the SDK into our latest build.

So we need everyone to email us back and let us know if you want to be on The Management Team or be a Non-Voting Member before November 30th. Here is a description/requirements of each role:
  • Member of the Management Team
    • Can/will help contribute to meeting up (Skype/in person) to be able help the Management Team implement the SDK starting January. 
    • Can/will be involved in future sprints, updates, dev meetings, support for steam inquires, etc starting January.
    • Have to be able to be able to make quarterly meetings including the first one in the first week of January.
    • If two quarterly meetings are missed in a row, than that Manager will be forced to become a Non-Voting Member.
    • Requires $50 Initial Contribution to be made to Manipulation Machine, LLC by November 30th.
  • Non-Voting Member
    • Will have full name in credits as part of the original EAE Manipulation Machine Team.
    • No future dev work required
    • No money will ever be asked from any non-voting member
    • All future dev, financial or any other decisions will be forfeited and given to the responsibility of The Management Team
    • Will receive a small compensation based on future profits
    • Waive voting rights henceforth
  • Non-Participant
    • Waive all voting rights, decisions, future dev work, compensation and we will leave you alone and not bother you with any other emails after this one.
    • Will have full name in credits as part of the original EAE Manipulation Machine Team.


What we need to do next:

Once we have received a response from everyone, we will be able to set everyone’s role within the agreement, finalize our LLC paperwork and meet up for the first quarterly meeting in January to begin implementing the SDK. If you want to be a Non-Voting member, no harm, no fowl. We will keep your name in the credits and just have The Management Team take over the responsibilities of the LLC and the game from this point on.

We do however need a response before November 30, 2015 to determine if you want to be a Non-Voting Member or a Manager or we have to assume you want waive your rights henceforth and will be considered a Non-Participant. So reply to this email letting us know if you want to be a Manager, Non-Voting Member or a Non-Participant as soon as you can so we can get this thing taken care of.

Hey everyone!

Just a reminder, we have a little less than two weeks until our November 30th deadline of giving the team a response on the role you want to play with Vinyl and Manipulation Machine, LLC in the future.

As stated in the last email, there are three options to choose from. If you need any clarification on these choices, check the last email or get ahold of Brianne or myself. Here are the choices in roles:
    • Member of the Management Team
    • Non-Voting Member
    • Non-Participant
    If we don't hear a response back from you by the November 30, 2015 deadline, we will assume you have chosen to become a Non-Participant and therefor relinquish all your voting rights, decisions, future dev work, etc.  Even if you aren't sure of a decision quite yet, communicate with us so we can work something out or see where you stand so far.

    If for some reason, you make a decision right now but change your mind in the future, just contact Brianne or myself and we will work with you to see what we can do.

    A huge thank you to Mike, Alice, Brianne and Jason K to getting back to us and letting us know your decision. Hopefully we hear from everyone else shortly.
