"Sky agrees terms for ITV broadcast business acquisition

Sky has agreed terms to acquire ITV’s Media & Entertainment division in a deal valued at around £1.6 billion, according to sources familiar with the negotiations.

The transaction, first reported by Reuters, would see Comcast-owned Sky acquire ITV’s broadcast and streaming operations, including ITVX, while ITV Studios would become a standalone production business.

As part of the agreement, ITV Studios would acquire Sky-owned Love Productions, the maker of The Great British Bake Off and The Piano. The production company is understood to be valued at between £80 million and £120 million, based on comparable transactions.

The overall value of the deal also includes an earn-out worth around £200 million linked to the future performance of the Media & Entertainment business.

Lawyers are understood to be finalising the agreement, with an announcement possible within the next two weeks, although one source cautioned that the timetable could still slip because of outstanding legal work.

The proposed acquisition would bring to a close negotiations that began last year and became public in November when ITV confirmed it was in discussions with Sky over a potential sale of its Media & Entertainment division.

Separating ITV’s broadcast and streaming operations from ITV Studios has been one of the most complex aspects of the transaction. Once completed, ITV Studios would continue as an independent production company, while Sky would add ITV’s linear channels and ITVX streaming platform to its UK operations."
