restoration of backups onto new backup exec server

I have BE 12.5 running on Win2k3 R2 (32bit). I am running just backup-
to-disk backups. Let's say I make a backup, then ship the backup file
(s) to an offsite location (over WAN), then for whatever reason my
backup server dies (fire/water/broke etc).

1) If I have a replacement server, can I reinstall BE 12.5, and
assuming I can retrieve the backup files from my offsite location, how
do I import the backup files and restore them?

2) If I choose to encrypt my backup files, can I restore my backup
files on the new server and at what point does BE request the
passphrase for the encryption key?
