Churning through the paperwork, and need addresses for the initial (5)
Board of Directors - 3 of whom are also titled 'incorporator'.

On the list are:

David Halliburton
David Rutledge
Joshua Perez
Tom Spross
Cliff Loucks

Would you guys email me your mailing addresses (privately!) and I'll
send the form along that need be signed and passed to the 'next guy',
then back to me.

First will be Incorporating, then getting tax ID numbers (both state
and federal), then filing as a state not-for-profit, then the biggie -
the application to the IRS.

Thanks!

OK, maybe I missed something...but isn't there supposed to be a vote
for Board of Directors?

Many apologies if I have been misinformed.

Cory's vote inquiry is certainly a valid one. But in the interest of
time and momentum:

Corey,

Being new to this (all of it) it seems like the easiest and most
efficient way forward is to have some / all of the folks mentioned
above on the board to start, then have 'real elections' when NMBRA is
actually up and running. Not sure how to elect a B.O.D. when there is
no structure to elect one yet! If we establish a preliminary NMBRA /
club system, with reps and their subsequent voting 'ability', and all
the associated structure prior to forming the not-for-profit, I'd
imagine we'd all but lose most of this season trying to get off the
ground! The folks mentioned here have been communicative, helpful, and
insightful through the whole dialogue - and I'm sure, at worst -
they'd do fine for the 2008 season. Even if they do fantastic - there
will be the opportunity to vote the out for the 2009 season.

But again, I may be overlooking something - perhaps a vote via the
bike-racers email list?

(kidding)

Let me know if I'm off base or headed in the wrong direction - as the
mountain of paperwork is intimidating enough as it is and if I need to
adjust trajectory - now is the time.

Thanks Cliff, I'll mail the first round of paperwork for you and the
others to sign this week.

An initial incorporation is done by organizers and an initial board.

The Socorro meeting was publicized as an organizing meeting.

The info circulated prior to the meeting identified volunteers to serve as organzers and initial directors.  Other interested persons were invited to step forward.

After a corp is organized, elections are held - generally on an annual basis - for future governance.  A chicken/egg type of thing.

Thanks to Glen for moving forward while I have (temporarily - I hope) gotten mired down some of the itty-bitty non-bike details of work and life.

Gentlemen,

For 09 I would like to propose that El Paso be included in with NM for obvious reasons. The main benefit will be the added revenue to NMBRA.

Comments Questions ??

Just a comment - this sort of arrangement works for USA Triathlon - El Paso County is part of the Rocky Mountain region, but the new tykes at the national office have to be educated about it all the time.

George,

That sounds like a wonderful idea. Bonnie is great and does a wonderful job but sometimes I felt like we were a little too far away to benefit from her hard work. Texas is a huge state just to give everyone out there an idea; it takes 13 hours to drive from El Paso to Houston, it takes just as long to get to Los Angeles California from El Paso. Thanks George!

Ciao,
Jaime Gandara Jr.
