Description: This position, reporting to the NY based Escrow Client Services Team Leader, is responsible for negotiating and managing Exchange Agent appointments related to Merger and Acquisitions paying agent activity. The CM will interact with various JP Morgan business partners including Sales, Product Management, Operations and Risk. The Exchange Agent CM will have full accountability for all facets of Exchange Agent account administration from inception and payout to termination.%0A %0A New Business Activities:%0A%0A * Understand the business purpose and deal structure for new Exchange Agent opportunities%0A * Review and negotiate Exchange Agent documents and coordinate comments with internal counsel as needed%0A * Interact with client’s external counsel to negotiate Exchange Agent contracts in a proactive and professional manner ensuring that the risk profile of JPMorgan is protected while also ensuring that the needs of the client with respect to responsiveness and timely closing are met%0A * Work with team members to ensure deal information is set up on all operating systems and contractual obligations denoted%0A * Optimize account profitability by maximizing JPMorgan fee and investment revenue opportunities%0A * Generate new business through sales of Exchange Agent product to both new and existing clients and referral sources%0A * Identify and aggressively follow up on all Exchange Agent and bank business opportunities%0A * Understand all duties to be performed by JPMorgan under each agreement%0A Ongoing Administration:%0A%0A * Detailed knowledge of reorganization functions including Corporate actions, reorganization activity, Stock transfer , DTC operations, Letters of Transmittal, Operations, Holder inquiries and Tax reporting%0A * Coordination with team members to ensure that fee invoices are created promptly and collected prior to 180 days%0A * Overdrafts, write-offs, uninvested cash, operating losses and business risk is avoided%0A * All account activities are in compliance with relevant governing documents and JPMorgan policies and procedures%0A Client Service:%0A%0A * Provide strong customer service by responding quickly to client requests, holder inquiries, offering solutions to client needs, and developing meaningful client relationships%0A * Cultivate holistic view of each client by keeping in touch with the client’s business strategy and analyzing risk and opportunities of industry and client related news%0A * Understand all JPMorgan products utilized by the customer and cross-sell to other business lines as appropriate%0A * Look for opportunities to involve client in key business initiatives%0A * Introduce client to colleagues within JPMorgan Chase, as appropriate and necessary%0A Team Role:%0A%0A * Assist teammates in daily operations and provide back-up support during absences%0A * Develop strong working relationships with Escrow product management, sales and Operations units%0A * Escalate client issues to Team Leader, Product Management, Risk, Tax and Legal, as appropriate%0A %0A%0A * Partner with Sales Executives in seeking new business opportunities%0A * Consistently keep Team Leader apprised of client related activities%0A * Lead and/or participate in special projects as necessary%0A %0A * Bachelor%27s Degree%0A * Experience in legal contract negotiation(preferably Escrow, Stock transfer or Trust Contracts)%0A * 8-10 year%27s work experience in financial services, preferably in Stock Transfer, Escrow, Trust %0A * Knowledge of operational functions including holder inquiries, DTC processes, and corporate actions%0A * Demonstrated leadership skills via team or project management%0A * Demonstrated sales and strong customer service orientation%0A * Highly motivated%0A * Team Player%0A * Strong verbal and written communication skills%0A * Experience in independent decision making%0A * Excellent organizational skills%0A Excellent PC Skills including Word, Excel%0A %0A %0A JPMorgan Chase is an Equal Opportunity and Affirmative Action Employer, M/F/D/V %0A
