TCFA CA Chapter Seminar – “China, on the brink of an unexpected change”
We are very glad to announce a speaker and networking event hosted by the Chinese Finance Association California Chapter on May 16th Thursday at the downtown San Francisco. The theme of the speaker event is ‘China, on the brink of an [unexpected]
change’.
We have invited speakers from China and US local to cover topics of the New Trend in (1) China PE/VC business (2) China-US Cross-Border M&A and Multi-Purpose Investment Opportunities.
Both China and U.S have accumulated significant liquidity as they have held themselves from deep downturn, a correction to the excessive capacity build-up in many aspects during 98-08 period thanks to IT Revolution and Globalization, by
deploying aggressive expansionary monetary and fiscal policies. That ample supply in liquidity is a double-edged sword: it could provide fuel to revolutionize the approach of cooperation cross the Pacific and in the same time it could also make both suffer
even further due to an amplified imbalance internally. Right now, we are on the brink of that potential change pointing to either direction.
And indeed there are clear signals and opportunities arising for overseas professionals who hold skill, experience, sophistication and, most important, ethical standard to assist that advance toward the constructive side. It is time for
us to learn, understand and, most important, act.
In addition to the speech, we would briefly update local members’ recent development in China which, we consider, is also an important way to demonstrate the progressive changes in China.

Hui(Hannah) Cao:
Hui (Hannah) Cao is a China Corporate Counsel in Steptoe's Beijing office, advising both public and private companies on a broad range of China-related business matters.
She has represented clients in China in connection with investments in China’s various industry sectors, including financial services, healthcare, Internet, technology, education, media, logistics, manufacturing, and energy. Ms. Cao advises foreign investors
on various methods of China market entry, including joint venture, merger and acquisition, and greenfield investment.
Ms. Cao received her J.D. from Brooklyn Law School. She also holds a Master's Degree in International Relations from Yale University and a Bachelor's Degree in International Economics from
Peking University in Beijing. Prior to joining Steptoe, Ms. Cao worked for other international law firms in New York and Beijing, advising clients on various cross-border corporate transactions.
Cindy Wang
Cindy Wang is the Managing Partner of The Phaenomena Group, with a focus on Investment Banking advisory, cross-border M&A, and technology sector. She currently conducts
all IB transactions through TerraNova Capital Equities. Prior to that, she served as a Managing Director at Woodside Capital Partners, focusing on the firm's M&A practice in Software, IT Services,
and cross-border business with China. She was previously an investment banker at ThinkEquity Partners and WR Hambrecht Co., both with a technology focus and a geographic focus of China. She has extensive transaction experiences in M&As, Private Placements,
IPOs, and Follow-Ons. She can help companies identify growth opportunities, define roadmap and positioning, and execute strategic and financial transactions.
She is a MBA graduate of Haas School of Business at UC Berkeley. She also held Master of Science in Computer Science from New Mexico State University and Bachelor
of Science in Information Technology from East China Normal University.
Michael Wu
Mr. Wu is a member of the Corporate & Securities practice group. He has extensive experience in the area of private investment funds, including private equity funds, real estate funds,
hedge funds, commodity funds, fund of funds, venture capital funds and China RMB funds, as well as with open-end and closed-end investment funds registered with the SEC. Mr. Wu advises fund managers on organizing, structuring and offering investment funds,
as well as on the regulatory, legal, compliance, tax and ERISA issues relevant to investment funds. In addition, Mr. Wu assists clients with registration as broker-dealers, commodity pool operators and investment advisers. Mr. Wu frequently writes and speaks
on legal matters affecting fund managers, particularly on issues pertaining to investment in China. Mr. Wu is a regular contributor to the Investment Fund Law Blog.
