Dear Management Committee,

(Without Prejudice)

EGM: Action Required

Further to the below email from James today (and other emails lower down), the response today is entirely unsatisfactory!
An EGM has been called by sufficient numbers of the membership of the club.
The facts of calling this are based on what I am led to understand to be:

That 71 Members have demanded that an EGM be called forthwith.
The Petition was given into the Office on 30th July 2024 and we have been advised that The Chairman collected it on 5th August 2024.
The Members have followed TGC Club Rule 4 – Extraordinary General Meeting Section l (iii) to the letter and now, as Officers, you also have to follow TGC Rule 4n.
The delay in the Notice to Members had become unacceptable. The reply today further compounds this and has nothing to do with the need for the EGM.
 
There would appear to be no “underlying circumstances” or need “for legal advice” to be taken – the Petition and Proposition are clear and within the Rules of the Club and therefore this Notice to Members should be sent out to all Members immediately.

Additionally, where there has been use of any “legal guidance” or “advisory” capacity activities, meetings, conversations, then these need to be auditable by the club for the next AGM.
Any fees paid need to be accounted for in the accounts and clearly stated for which matter they relate to, as these funds should and should ordiniraly be going on to other works, projects or upkeep of the club.
If there have been “informal and non-invoiceable” conversations of a legal matter, that have any relation to any matters, these are also needing to be kept account of, otherwise it would give the appearance of not being a appropriate approach to discuss such matters without some form of agreement / NDA in place.

The response below shows a lack of understanding on the matter the EGM has been called about.

It should also be pointed out that if any committee member or members feel unable to fulfil their role, for whatever reason, and move forward with the EGM, irrespective of any “other matters” that may be going on in the background, then they should consider whether they are in fact supporting the club and its members in the appropriate manner.

As you may recall I advised you last week that we were taking legal advice pertaining to the holding of an EGM (may I stress at no cost to the Club).

What I am trying to determine is what we can and what we cannot discuss; how much detail are we permitted to go into and also how we can ensure the EGM is fair and unbiased; that all members are treated equally and privy to the same information.

I want to be sure all members can confidently attend an EGM and vote knowing they are not in the dark on anything discussed, however there is an ongoing investigation at TGC, details of which are embargoed for discussion. Hence my predicament.

My role as Chair is to represent the many not the few and that's what I will try and continue to do.

I cannot comment on the nature of the allegations but suffice to say that’s all they are at this stage.
An investigation is underway and we will continue to work with our legal advisors as this progresses.

I appreciate this is unsettling for the club and there are many questions but we must respect the privacy of those involved as this is undoubtedly a difficult time.

James thank you for the update although it seems that the two matters , disciplinary action and the EGM are getting later twined when there is no need to for this to happen.
The delay in the EGM is not dependent on any outcome of the disciplinary hearing. It is separate issue.
The members have followed the rules and there is no reason why the EGM should not be called with immediate effect.
I am concerned that these matters are driving the committee into actions that are not acceptable and it shows the management committee in bad light.
The role of the Chairman is to oversee that the Management Committee are making the right decisions, not the Chairman.

Please can we stop this  charade and let the members have their EGM as they are fully entitled to.

I would also seriously have to consider my position as next years Captain if this is not dealt with to the Members satisfaction.

Hi Keith,

Well said Keith, staffing issues and the EGM are completely separate issues. I see no reason why an EGM does not go ahead as long as the current staffing problems stay off limits during the meeting. The chair of the meeting, the Captain, can make this clear at the start of the meeting. This can also be made clear in the notice sent out to members by the office detailing the date of the EGM.
