At the outset, I would like to thank You & Residents of Sugam Sabuj on behalf of the newly elected Board Members of SSAOA for giving us the opportunity to serve the Association.
I am writing to seek your kind guidance and clarification on an important matter concerning the constitution of the new Board of our Housing Society SSAOA.
As per the final result , the new board is being formed with 10 members, with 8 owner members and 2 Power of Attorney (POA) holders. We will be happy to proceed with all these 10 members.
We understand that Respected Election Officer has kept a caveat by approving the inclusion of POA holders on a provisional basis for a period of six months, subject to the compliance of the following conditions:
1)Approval by the General Body (GB), and
2) Necessary changes/inclusion of the POA clause in the Society’s By-laws.
However, there appears to be no clear guideline on the scope of authority vested in these 8 members with respect to enforcing the same. Hence, we are seeking clarity on the following points:
1. Whether the newly board has the authority to delegate/empower POA holders with operational responsibilities till GB Meeting/Change in By-laws is in place.
2. Can the POA holders execute all power of Board Members officially from Day-1 of takeover of the New Board?
3. What is the guidelines process for inclusion of the POA holders through GB/By-laws as the New Board Members do not have a precedence in Sugam to refer too.
In the absence of clear direction, the newly elected board members may face operational challenges and uncertainties in executing their roles effectively.
We would be grateful if you could provide your guidance on the above.
