For a few weeks negotiations with those that are proposing litigation have been conducted through the good offices of a neutral party. I have to tell you all that he has informed me that his channels of communication have been closed by the spokesperson for the potential litigants. Consequently no negotiations are now likely. This is regrettable, but to us predictable.

During this very limited negotiation period an original offer was made by the potential litigants, and was amended through the hard work of of our neutral party. The Dictatura and Magistrates reviewed this and felt unable to accept and instead provided an alternative offer. The proposed litigants apparently felt unable to accept. Then another letter was circulated to citizens from them, containing the usual exhortations to join them and stating their intent to pursue an Official Complaint. They then closed communication with the neutral party. While they may not have liked our counter offer, they had plenty of opportunity to provide a revised offer. This is the nature of a real negotiation. Both sides start with their ideal, or near ideal, offers, and then bargain their way to a compromise. Sadly that was not to be as they terminated the negotiation stage.

So the Dictatura and Magistrates have a clear choice. Accept the current situation, or do something proactively, regardless of the obstinate refusal of our opponents to engage in meaningful negotiations. What has guided us to the decision below is the need to resolve the evident structural problems with Nova Roma. This is our first priority. The lawyers in this dispute felt that the current structure could not legally blend the needs of a non-profit corporation and a res public, and that our current Constitution was a mess. The Dictatura and Magistrates therefore have a duty to deal with this swiftly. Everything else assumes secondary importance. Many of us have known, or suspected or felt this structural weakness to be the case, but in the past there has been a refusal in the Senate and elsewhere to face these facts. This has polluted the debate over solutions and prevented decisive action under the normal mechanisms of the res publica governance model. We can no longer afford that luxury and must move to correct this flaw in our structure.

Therefore keeping in mind this situation we face, the Dictatura has chosen to take the first step, regardless of the potential litigants withdrawing from negotiations. We do so because ultimately the problems we face as a res publica are bigger than the immediate risk posed after the intercessio, what damage they may attempt to do now, or even what these people will get up to in the future. Whether they pursue an Official Complaint is irrelevant too. All that matters to the Dictatura and Magistrates is pushing through with the split and this is one step to ensuring that the focus is on the larger problem, not the activities of these people inside and outside of Nova Roma. 

We certainly do need a non-profit corporation, and even if we chose to do away with it so too would go the funds and our abilities to pay bills. Even our competitor organizations have structured their organizations to include a non-profit. Donated funds have to go somewhere and where better than a non-profit structure. That said we all know I think that the non-profit has assumed an importance it never was intended to have, but that Pandora's box was opened long, long ago. With a non-profit comes regulations, which successive Senate majorities have tried to blend with the needs of the res publica. I don't know of one person who has joined Nova Roma because it had a non-profit. People joined for the res publica. 

As we move towards a solution to this the first six month term of the Dictatura is coming to a close. After discussions with my colleague Lucius Cornelius Sulla Felix, our Magister Equitum, and the other Magistrates, we have concluded that despite the intransigent actions of our opponents we can take proactive and immediate steps. They can avail themselves of that if they wish. Those steps are:

1. The former Senators, Scholastica, Dexter, Hadrianus and Placidus, who were removed during the immediacy of the crisis are free to return to the Senate list as directors/Senators. They only have to request re-subscribing to the Senate list. Copies of this post will be sent to their email addresses.

2. Ex-consul Tutor's banishment is lifted forthwith, his citizenship is restored and he too may rejoin the Senate list as a Senator. A copy of this email will be sent to his email address. As Tutor's consulship has expired he will not be restored as a magistrate, just as a director/Senator.

3. Senators not removed by the Dictatura and who chose to resign will not be re-subscribed. Their actions were voluntary and were never required by the Dictatura. They have to live with the consequences of that decision. 

4. Other citizens who were expelled may return but only after the corrective action has been taken regarding separating the res publcia and non-profit. They will be free to apply to return, at that point, under the prevailing legal conditions that will exist for everyone here after the split.

5. As a temporary measure, if the Senate votes a second term to the Dictatura, a Dictatorial edict will be issued at that point restoring Placidus as censor, but he will be one of three. Sabinus and Sulla will remain in office as well. Sabinus will remain in the background, and only act as a tie breaker should a significant impasse be reached between Sulla and Placidus.

6. Despite nonsensical claims being circulated about loyalty oaths being required of Senators (which they were not) by the Dictatura, no such oath or promise of any sort is required of the above persons, or anyone else for that matter. This offer to rejoin the Senate is free of conditions, is a standing offer and is not time sensitive. No apologies are required of them, or any admission of fault. No one has to assent to the above. I am sure, as are my colleagues, that the removed Senators will be obdurate in their opposition and vote against everything if they do rejoin the Senate, but they can walk back in now or in the future. They can act on it, or not. The choice is theirs.

The Senate is meeting at the moment to vote on a second term for the Dictatura. Those above at (1) and (2) will be sent the agenda, by email, for the current session and it will be extended to allow them time to digest this, and accept or not. So they can rejoin the Senate if they wish, debate the issue of the Dictatura and other matters, and vote on all the matters, or they can choose not to rejoin. The doors are open to them at any time they wish. Regardless of whether they do re-subscribe to the Senate list they will continue to receive notices of any Senate calls after this.

The Dictatura and Magistrates have determined that while the situation surrounding the intercessio that resulted in this chain of events has abated, which is why the above Senators can now rejoin the Senate list if they wish, that the wider emergency concerning the structural flaws of the res publica and non-profit remain. That, and the need to ensure continuing stability, means that the Senate can choose to vote for another six month term for the Dictatura, or not.

An edict will be issued shortly enshrining the above points.
