Highlights of BSE Circular dated December -31 -2025
This is with reference to ICCL circular no. 20251006-52 dated October 06, 2025 & Circular No 20251031-61 dated October 31, 2025, pertaining to Submission of Annual Audited Networth Certificate, Auditor’s Report & Audited Annual Accounts for the financial year 2024-25, wherein members were advised to submit the Annual Return for the financial year 2024-25 to the ICCL on or before December 31, 2025.
In this respect, Clearing Members are hereby informed that the Ministry of Corporate Affairs (MCA), vide its circular ref. 08/2025 dated December 30, 2025, titled “Relaxation of Additional Fees and Extension of Time for Filing of Financial Statements and Annual Return under the Companies Act, 2013” wherein the said circular extends the due date for filing financial statements and annual returns with the Registrar of Companies (ROC) for the financial year ended March 31, 2025, from December 31, 2025 to January 31, 2026. (Same is attached as Annexure).
In view of the above, members are advised to submit the Annual Returns for the Financial Year ended on March 31, 2025, through ICCL’s Electronic Filing System (IEFS) on or before January 31, 2026.
Non-submission /delayed Submission shall attract penalty / disciplinary actions as per Annexure 1 of circular no. 20251006-52 dated October 06, 2025.
