Ease of Doing Investment – Special Window for Re-lodgement of Transfer Requests of Physical Shares

Highlights of SEBI Circular dated July-2-2025

Background:

  • Transfer of physical securities was discontinued from April 01, 2019.
  • Earlier, SEBI had allowed re-lodgement of rejected transfer deeds lodged before April 01, 2019 up to March 31, 2021.

Key Issue:

  • Several investors missed the March 31, 2021 deadline.
  • Based on stakeholder representations and recommendations of an expert panel, SEBI decided to give another opportunity for such investors.

Key Decisions:

  1. Special Window for Re-lodgement:
    • 6-month window is being provided from July 07, 2025 to January 06, 2026.
    • Applicable for transfer deeds lodged before April 01, 2019 but rejected/returned/not processed.
  2. Transfer Only in Demat Mode:
    • Securities re-lodged during this window will be transferred only in demat mode.
    • Proper transfer-cum-demat procedure must be followed.
  3. Publicity Requirements:
    • Listed companies, RTAs, and Stock Exchanges must publicize the special window bi-monthly via print and social media.
  4. Dedicated Support:
    • RTAs and listed companies must establish focused teams to handle such requests.
  5. Monthly Reporting:
    • RTAs/listed companies must submit monthly reports on:
      • Publicity efforts.
      • Number of shares re-lodged (in SEBI-specified format – Annexure-A)
