Florida LLC for rails consultancy

I am finally looking to set up a Florida LLC to do rails consulting.

Would anyone who has gone through this process in Florida be willing
to share their articles of incorporation and bylaws to act as a
template for me creating my documents? By all means black out any
personal/private bits.

I plan to register the company online through sunbiz.org, the website
for Florida corporations.

Many thanks to everyone on this list for sharing their experiences and
perspective on setting up a rails consultancy.

NOTE: I have no direct experience in FL. and IANAL.

You might want to take a look at the Sec of State's web site.  I've set up LLC's in 3 states and they all had example articles on their web site's with all the "boiler plate" language.

Hi David,

Unfortunately the Florida web site doesn't offer any boilerplate in
this case. I have set up LLCs in Colorado and California and I know
there can be some state-specific items required by some states and not
others.

Just hoping someone had gone through the process and was willing to
share.

I see the competition here in Florida is increasing :).

Setting up an LLC is as simple as going to sunbiz.org (which you mentioned) and completing the online form. Once that is complete you are good to go. An LLC (as far as I know) doesn't require bylaws and all that. Check with your CPA (you do have one don't you) for the latest tax implications of LLC versus another type of corporation. The ADS Podcast (available via iTunes) has some information on getting set up as well.

Also do you typically find companies requiring an Errors and Omissions
policy for engaging a rails consultancy?

As for insurance, no one has asked us for it, but we have it in place just in case.
