Hello Everyone,

My query is, that if a public limited company wishes to issue Optionally Fully Convertible Debentures, which are unsecured, would it require to obtain Central Government Approval u/s 81(3)(b) of the Companies Act, 1956 or would the Unlisted Public Companies (Preferential Allotment) Rules, 2003 be applicable?
