Meeting Reminder

The previously announced meeting and elections for the Potomac Spring
Civic Association will be held at 8:00 pm on December 2, 2010 at the
home of Howard & Anne Clemons at 2614 Oakenshield Drive.
A Nominations and Election Committee as permitted under Const. Art.
VIII, Section 2 does not exist, and consequently, individuals willing
to serve will all need to be nominated from the floor as permitted by
Const. Art VIII, Section 3. Assuming their continuing desire to serve,
the following individuals have previously expressed an interest in
serving on the Board or the Architectural Control Committee.

A quorum for the transaction of business for other than an amendment
to the Constitution constitutes 15 votes in person or by proxy.
(Const. Art. 5, section 2) The Board is to be constituted of at least
5 members and as many as 9 members. (Const. Art. VI, section 2).

The architectural control committee is elected only by the lot owners
and is constituted of 3 regular members and 1 or 2 alternates. The
chair of the ACC serves as an ex-officio member of the board. (Const.
Art. VII, section 1) Members of the ACC must be lot owners. (Deed
Covenants section 17, and Const. Art. VII, section 2)

Each members household is entitled to two votes which may be cast in
person or by proxy granted to another member (By-Laws section 1). The
candidates receiving the most votes are elected. Cumulative voting
does not apply (Const. Art. VIII, section 5).
