Confident in his powers as Spider-Man, Peter Parker (Andrew Garfield) embraces his new role as a hero and spends time with Gwen Stacy (Emma Stone) in between protecting New York from criminals. However, his greatest battle yet is about to begin. With the emergence of Electro (Jamie Foxx), Peter must confront him, who is a far more powerful than he is. And when his old friend Harry Osborn (Dane DeHaan) returns, Peter comes to realize that all his enemies have one thing in common: Oscorp.
In a flashback, former Oscorp scientist and businessman Richard Parker records a video message to explain his disappearance. He and his wife Mary Parker try to flee aboard a private jet that is hijacked by an assassin. The jet crashes, killing the couple.
In the present day, Spider-Man is in pursuit of criminals carrying a truck full of dangerous chemicals called plutonium through the city. Whilst talking to Gwen Stacy on the phone, he sees a vision of her late father, Captain Stacy, and is reminded of the promise he made to stay away from Gwen. During the chase, he saves the life of a man named Max Dillon.
Afterward, Peter meets Gwen at their high school graduation ceremony where the two share a kiss. However, later in the evening, Peter tells Gwen about the visions he's been having and insists that he needs to keep his promise in which Gwen breaks up with Peter. After years of being away from the city, Harry Osborn returns home and talks with his father, Norman Osborn, who is in very sick health. Norman explains to Harry that sickness is genetic and that Harry is at the age where it will begin to show. Before he dies, he gives Harry a small device which he claims contains his life's work. The next day, it is reported that Norman Osborn is dead, making Harry Osborn CEO of Oscorp.
Max Dillon, now assuming that he and Spider-Man are best friends, attends work on his birthday as an electrician at Oscorp. Whilst tending to some dangerous maintenance, he loses his balance and falls into a tank of modified electric eels being used for experiments. As a result, he becomes a human mass of electricity. The next day, Peter sees the news of Norman's demise. At the same time, Harry is in a meeting with the board, where they discuss Oscorp's issues, starting with the "intense public scrutiny in the wake of Dr. Connors's recent breach of trust", meaning everyone is mad at Oscorp because Dr. Connors tried to turn everyone in New York City into giant lizards. "Given that, all the animal hybrid programs he was involved in were destroyed to restore investor confidence." After hearing this, Harry in disappointment states that "that is the Osborn way!" That "whatever's inconvenient" just gets rid of. Harry is told that much of the scrutiny will fall on him now that he is the CEO.
The board feels that plausible deniability is Harry's best option. Harry then goes on to rant about how he's a 20 year old kid with a $200 billion dollar company and doesn't understand what his dad was thinking. He points out that everyone on the board are lawyers and that someone should've questioned his (Norman's) sanity in the end. That someone should've had him declared legally incompetent, which would've made the current conversation a whole lot easier. When the corporate lawyer tries to explain, first by calling him "Harry", Harry cuts him off stating that it's "Mr. Osborn" and that they're not friends. As the room quiets down, Harry notices Felicia Hardy, who becomes his new assistant due to being Norman's assistant before he died. He tells everyone at the table that they work for her, because she works for him. The meeting is interrupted when Harry is told that Peter has arrived and is waiting for him and the two are reunited after ten years, as they catch up and hang out at a park while the board secretly spies on their conversation. Afterwards, Peter meets Gwen in an attempt to maintain a friendship.
Meanwhile, Max Dillon wakes up in the crematorium, where he discovers his new powers. He grabs a jacket and heads out. While walking outside, he hungers for energy and absorbs the power source of the nearby cars before heading to Times Square, where he feels more energy. While Gwen and Peter hangout, Gwen tells Peter that a job opportunity means she has to move to England. Before the two can discuss it, Max accidentally shuts off the power to Times Square whilst looking for electricity to power himself. Max is seen all over time square where he is actually seen. Spider-Man attempts to calm the situation down. Spider-Man then saves people from his destruction. As Electro is replaced by Spider-Man all over Times Square which Electro then thinks Spider-Man is nothing but selfish. But after the police try to shoot him, Max thinks that Spider-Man has betrayed him and attacks. Spider-Man eventually stops him and he is taken to the Ravencroft Institute.
Later, when Peter is home resting when he sees himself on the news, and with complications with Gwen, he makes a collage on the wall in his room of her and mainly his thoughts on his parents mysterious disappearance. Meanwhile, Harry begins to show symptoms of his sickness and uses the device his father gave him to access computer files of Oscorp, where he stumbles upon substation documents that contain a video of "next-generation military body armor that features an enhanced-mobility unit, battlefield injury repair and a direct nervous system interface." He then stumbles upon the double zero project, which is his and Peter's father's research that includes the household common-spiders that contain the power to self heal from severe infection, tissue damage, et cetera, etc.. It explains that they've used a radioactive isotope with compatible human DNA. Ironically it is the same spider bit Peter, and Harry believes that Spider-Man's blood could save him.
Meanwhile, after his first fight with Electro, Peter looks up some YouTube videos describing how batteries can hold a certain amount of charge, but get fried and/or explode from overcharging. The next morning, as Harry is dying of his terminal sickness, he wants Spider-Man's blood, believing it and its healing abilities to be his only hope for survival. He calls Peter and asks for help and when Peter meets him, Harry believes that he knows Spider-Man because Peter takes his pictures. Peter denies it, but Harry still insists that Peter finds Spider-Man, having Peter reluctantly agree before leaving. Dr. Kafka experiments on Max Dillon, who then dubs himself Electro.
At home, Aunt May asks Peter about his recent research. Peter claims there's something she's not telling him while also pointing out that everytime he mentions his parents, her eyes go down and he asks her to tell him about his father. She tells him about how his father left him, turning a little boy's (his) world upside down with no explanation. With Peter claiming that he needs to know, Aunt May tells him everything she knows, informing him that after the funeral of his parents, two government men showed up at her doorstep claiming that he betrayed the Oscorp with important research that people would've paid a lot for. Afterwards, Spider-Man visits Harry and refuses to give him his blood, despite wanting to help, fearing that his blood may harm or kill Harry, or even turn him into a monster like what happened with the Dr. Connors, who became the Lizard.
Harry responds that he's already dying, so he's got nothing to lose and aggressively calls Spider-Man a fraud who only pretends to give hope. Peter then shows up to Gwen's location and tries to talk to her about what he's learn about his parents and about how he wants to save Harry, but can't. Before he can say what he wants to say, they are interrupted by the desk lady and Peter asks where they are with Gwen responding, telling him that she is having her last interview at Oxford. Back at home, Peter is frustrated with the way things are going and destroys the college he made. He then throws a calculator at the wall, which has many subway tokens disperse from it. On the tokens, it says "Roosevelt" and Peter does some research on it.
Meanwhile, Harry is also frustrated with the way things are going. Felicia asks for his well being and offers if there's anything he can get her. Harry responds, saying the only thing he needs are the spiders that died, before telling her to take the day off. Felicia then gives Harry some information, claiming that she overheard Menken talking with one of the security heads, claiming that Oscorp extracted and kept the venom of the spiders before killing them so that they could comply with lawsuits, but still keep the data of the spiders incase it ever became useful. When Harry asks where it is, Felicia claims it to be on a secret sublevel called "Special Projects". Harry then begins researching "Special Projects" files within the Oscorp mainframe, where he learns of the Oscorp current experiments on Max Dillon, who's calling himself Electro. Upon interruption, Harry has been framed by members of the Oscorp board for covering up the accident involving Max Dillon and they remove him from his position as CEO.
Peter's research on Roosevelt leads to him discovering the location of his father's lab in a disused section of the New York Subway. After gaining entry, Peter discovers a video message from his father in the lab which detailed his father's work where Richard explained that Norman Osborn was the one selling the secrets, and when Richard objected Norman falsified evidence against him. Richard also revealed that the cross-species spiders were encoded to his DNA and would only work on his bloodline - Exonerating Peter from guilt about Harry as he had in fact saved his friend by not giving him his blood to save the disease. Richard also explains that the reason he had to leave New York because he wasn't willing to go along with Norman Osborn's plans to use what they had created for biological weapons with his research.
