Call for Special Meetings of the Members of Open Source Matters

Dear Members of Open Source Matters, Inc.


The previous Annual General Meeting of the Members of Open Source Matters Inc. took place at April 8th, 2014. During the Annual General Meeting the current Board Directors of Open Source Matters Inc. were elected with no specific term indicated. Our bylaws provides that in such an event, the term of the Board Directors will expire after 1 year.


Given the recent discussions and the upcoming vote on structure changes, it would be in the best interest of the project that elections of the Board Directors, that can only take place on an Annual General Meeting of the Members of Open Source Matters Inc., would take place after the vote on structure changes.


As the President of Open Source Matters Inc. I would like to take the advantage of calling a Special Meeting of the Members of Open Source Matters Inc., to discuss and vote on two motions:


Motion: Extend the term of the current Board Directors of Open Source Matters for 6 months or until the next Annual General Meeting of the Members, whichever comes first.


Motion: Postpone the Annual General Meeting of the members until after the vote on the proposed structure changes, where a date will be set at the latest before October 8, 2015.


For your convenience our bylaw for handling Special meetings of the Members of Open Source Matters Inc.


Special Meetings of the Members

3.6.2. Special Meetings. Special Meetings of the Members may be called by the President of the Board of Directors or upon the request of ten percent of the voting Members. Members shall receive not less than seven (7) days prior written notice of Special Meetings of the Members. The secretary of the corporation upon receiving the written demand shall promptly give notice of such meeting, or if he fails to do so within five business days thereafter, any member signing such demand may give such notice. Special Meetings of the Members may be held at the office of the corporation or at such other places, either within or without the state, as the Board of Directors may from time to time determine. Members may also meet or attend Special Meetings of the Members via telephone or internet relay chat or any other means that is acceptable to the majority of the members.

3.8. PROXIES. Each Member may authorize another person or persons to act for her or him in business by proxy. Every proxy must be in writing, signed by the member or her or his attorneyinfact. Proxies sent via email will require no signature. No proxy will be valid after the expiration of eleven months from the date thereof unless otherwise provided in the proxy. Every proxy will be revocable at the pleasure of the member executing it, except as otherwise provided by law.

It seems that the link for the time and date didn't match the announcement for the Special Meeting.
