Connelly: Limits on funding cross-purchase agreements

Abstract
The use of life insurance to fund cross-purchase agreements with life insurance:
In June 2024 the U.S. Supreme Court issued a unanimous opinion in Connelly v. United States. The case addressed the valuation of a closely held business and will significantly impact estate planning for many family and closely held businesses. The corporation held insurance on the life of a shareholder with the expectation that the proceeds would be used to fund an obligatory buyout of that person’s equity interest. The Court held that the existence of the obligation could not be used to reduce the value of the entity. The Supreme Court’s ruling resolves a conflict between the 8th and 11th Circuit Courts of Appeals.

What Cost Tenant Evictions: Harms and Protections
Abstract
Evictions are on the rise—in the past year, there have been more than a million eviction filings and that in only ten states.
Evictions can have devastating impacts on tenants, the community and the economy. Persistent housing shortages and
thin social safety nets lead to homelessness and all its social and psychological losses. The existing legal regime for
processing evictions impose hardships on both sides of the dynamic—either too perfunctory for tenants or too protracted
for landlords. The panelists will discuss some of the new initiatives, including the right to counsel, the requirement of
good cause, caps on rent increases, and their efficacy for a fairer eviction system.

Uniform Mortgage Modification Act
Abstract
The recently promulgated Uniform Mortgage Modification Act aims to make mortgage modifications less risky, principally by establishing a series of safe harbors. The drafters explained that a uniform law would provide predictability in transactions and reduce delays associated with mortgage loan modifications. Additionally, the uniform law is expected to reduce costs by obviating the need and expense of recording amendments and obtaining new title policies. The panelists will discuss the provisions of the act, as well as its expected impacts on mortgage law.

Abstract
For the past several years, scholars and advocates have been sounding the alarm about local land use and zoning laws unduly restricting critical development. In response to what some describe as outsized influence of neighbors, progressive advocates have been calling for state deregulation of local land use laws to make way for housing density, renewable energy infrastructure, and other necessary uses. But other scholars warn of babies and bathwater, frying pans and fires. They remind us that cities have traditionally been the loci of land use innovation. The debate has new urgency as states around the country debate which level of government is best equipped to tack the affordable housing and climate crises gripping the nation.
