Thanks for your inputs and thoughs  which we all need to know before one decides to invest in hydropower in Nepal.  Your mail was not discouraging at all, but was rather quite informative with the real facts. Since you are one of the few among us in Norway who have expertise in this field, your experices and thoughts count lot to a person like me, who know very little about investment in hydropower. In ther coming skype meeting on Sunday, we are going to form a committee with expertise and interests in hydropower and possible investment in Nepal. I would like to request you and Dr. Krishna Aryal in Bergen to be included in the committe. It would be even bettter if one of you could lead this initiative. Below I have also pasted the latest mails from ICC president Jiba Lamichhane for more information.

Thanks for the Q&A session last Saturday. About 4-5 keen investers participated from Singapore.

Some questions were raised before and after the Q&A session which I'd like to outline below:

1. Constitution of NRN Investment Company:

How can we get a copy of the constitution of the "NRN Investment Company"? (As the company has been registerd, the constitution or the rule book - Bidhan and Niyamabali - of the Company will clarify the questions such as the structure of the Board, management, and the modus-operandi of the company.

Every thing will be uploaded at the companies website which is under construction now

2. List of Key promotors of the company and their share %.

Let me explain it in different way. I do not categorize some investors as key investors and others not. All investors are equal and have equal legal right based on the size of their investment . To open the bank account, the company initially was registered with 9 promoters fromTF and NRNA Executive secretariat memebrs. The company will be re registred at company registrar's ofice once we get the full list of the investors with their 25% of the coommitment fund. .

3. Detail of the Hydro-electricity project that has been identified for investment, its capacity, current status.

It is under process. We have assigned the technical team to study the projects that are available with us. We are planning to adopt the first project within Decemebr this year

4. After the investments from NRN, where will the remaining funds come from? Banks, other institutions or public?

In such projects, the majority of the investment is financed by bank or financial institution . In general, it is 30/70 ratio. If the 30% of the investment is managed by the investors the rest will be financed by the Banks or financial institution. We too will follow the same concept.

5. If anyone wants to invest after the November 30 Deadline, will they be allowed to? How can they invest?

Let us keep this date till 30 Novemebr for now . The TF will decide later if twe get the request to prolong this date from many CICs.

6. Will you issue share certificates? How are they issued to NRN's living in foreign countries? By mail to all the investors? Or will it be tracked online?

The share certificate will remain in the company office in Kathamndu once it is issued . Every share holder need to collect it duly signed by himself in person when he goes to Kathamndu .

7. When is the cut-off period for the remaining 75%? Would be nice if there is a trigger point for calling remaining funds. Hope this is mentioned in the rule books of the company.

The rest of the fund will be asked to deposit during the span of project construction . The 2nd installement of 25% will be asked not sooner than the 6 months of the commencement of the project.

8. Is there something to read regarding the voting rights and Largest promoters with their share of investment?

All share holders have equal legal right based on the size of their invesmtment. It is the rule of the company formation every whwere in the world .It is very simple to understand . Let us say, if a investor with 1 lakhs NPR of investment has 1000 voting numbers then the investor with 1 Crore will have 1 lakhs voting numbers.

9. How does the company intend to protect the interest of small investors (those who invest less than 10 lakh)?

As I said, in legal terms there won't be the difference as big and small investors.

10. Will the Investment Company have 100% ownership of the proposed Hydro electricity project? (It is desirable to have 100% ownership of the project).

We will also include some local partners. But majority of the shares will be held with us. There is a trend these days that some shares are also alloted to the local community where such projects are constructed.

It gives me immense pleasure to inform you that Nepal Government has
appointed Mr.Deepak Rauniar, as the Chief Executive Officer (CEO) of
Jalvidhyut Lagani Tatha Bikas Company Limited (JLTBCL) effective 8th
November, 2012 for four years.

As you are aware this company was established last year by the Government
of Nepal in the midst of the ongoing energy crisis in the country. The
company operates with a single point agenda, namely to generate and invest
financial resources for the development and operations of the hydropower
sector in the country. Besides, its own strong equity (Authorized NRs.50
Billion, Called NRs.10 Billion, Paidup NRs.8 Billion (approx)), it can
mobilize funds for investment in hydroelectricity generation, transmission
and distribution projects from domestic and international channels and
resources using defined and popular financial instruments. For generation
projects, the company can invest either as debt or equity in mega projects
only (projects above 25MW). However, for Hydropower generation projects in
the range of 10MW to 25 MW, the company also has provisions to refinance
banks (and bank consortiums) that are in need of funds against their
financing in such projects.

It gives me great pleasure to inform you that the charter of the company
recognizes the important role of Non Resident Nepali’s (NRNs) in the
overall development of Hydropower sector of Nepal. The company can collect
and issue Certificate of Deposits of NRs.10 Million and above from NRNs.
Besides, obtaining deposits from NRNs for investments in Hydropower
projects, we also see opportunities for further collaboration including
fund generation, financing, fund management etc. for various Hydropower
projects in Nepal as being planned by NRNs and the NRN association.

Dear Friends,

Based on my past experience, after getting license of any hydropower project by NRN it will take between 3 years (minimum, best case) to 8 years (maximum, worst case) before the construction starts. The construction period is about 3 to 4 years. Those who invest money as promoter shareholder principally will not get any dividend before between 6 (optimistic) and 12 (pessimistic) years. Those willing to invest on Hydropower Development in Nepal must know about it. You should clearly know that your investment is only for long term benefit but not for the immediate short term return. I write this e-mail to you as an information, so that you know what is it about. Unfortunately, I will not be able to talk with you on Skype.

 

Wish you all the best on investment in Nepal. It will be a good contribution to Nepal. The country is unable to attract foreign investment. To your information, SN Power who was studying Tamakoshi has postponed its investment to Nepal. I am not sure on the reason.

 

"Please do not take this e-mail in negative way". What I am intending to tell you is that, the money you invest is only for longer return. If you thought that you will get return quickly, this is incorrect. You may ask this question to Jiva jee as well.

I would just like add a few more things on what  Nayan has  sent to us. This will also be an interaction between Nepalese friends in Norway and  NRNA Norway

 EC, which we were trying to organise since a long time ago, but had to postpond due to the unavailability of halls.
