Problem with invoking OEAPI class object with OE and WM

Hi,
I am using OEAPI standard v3.2.3 working with C#.net 2.0. i am
getting an exception when i am trying to invoke oeapi object through
the following code.
objOEAPI = new OEAPI.OEAPIObjClass();

Exception caught:
Retrieving the com class factory for component with CLSID
{12BAF138-264C-464B-9D58-C83B371DD4C} failed due to the following
error : 80080005.

any help regarding this will be appreciable.
