Since you're using volume license product keys you should have also used volume center download so the channels line up. As a work around you can try using kms keys as intermediate step.

I have serious problems with windows server 2012 and ESXi 5.1. Windows server keeps rebooting several times per week, and sometimes it does it several times per day too. Errors seems to point to netio.sys and ntoskrnl.exe, also ndis.sys and vmxnet3n61x64.sys are mentioned in bugcheck. Bugcheck refers to system_service_exception and kmode_exception_not_handled.
This question is old but I had the same problem and after viewing the dump file in windows I found the problem was related to the vShield driver that was being installed with tools. After doing a custom install or typical install and removing the vShield driver the server stop rebooting and all was well.
