Contract for Jemmy Land Management Work

Hey all,

I'm writing to request your input and approval for formalizing our working relationship with Jemmy through an annual independent contractor agreement.  This would start retroactively on July 1, 2025 to cover expenses he incurred during the latter part of the year when our funding ran out.   We would execute another contract starting January 1, for the 2026 year.  

The attached is the July 1 - Dec 31 contract.  I haven't drafted next year yet.

Why This Change?

Currently, we've been paying Jemmy in multiple ad-hoc payments after work is completed. To ensure legal compliance and proper treatment as an independent contractor rather than an employee, I'm proposing we transition to an annual contract structure. This approach provides clearer expectations, better protects both Jemmy and the organization, and aligns with standard practices.

Proposed Contract Amount: $9,500

This covers:

• Vehicle expenses including wear and tear on his truck: $2,000
• Labor for land management work performed after spring funding gap: $7,500

Scope of Services Covered:

The contract formalizes Jemmy's ongoing responsibilities including:

• NRCS project management and liaison with officials
• Leading and coordinating work crews (paid labor, CCC crews, SRCD volunteers)
• Hands-on planting and restoration work
• Equipment and materials coordination
• Financial tracking and budget management
• Public communications including social media and website updates
• General land management and oversight
• Road maintenance and access management

Payment Contingency:

Consistent with our previous board resolutions, all payments remain contingent upon receipt of NRCS funding, which we received November 2025.

Next Steps:

I've drafted a independent contractor agreement (attached) and request:

1. Your review and feedback on the proposed terms
2. Approval to execute this agreement
3. Any questions or concerns you'd like addressed
