Dear Mr. Banerjee:

This is a Final Demand for the amount
of US$65,153.80 owed to us by your company for
consulting services performed at Sun Microsystems
under the Independent Contractor Agreement dated
May 30, 1997.

Your company has not paid us for services
performed at Sun Microsystems by Rajesh Tangri
during the period January 5 through May 1, 1998.

PLEASE PAY IN FULL IMMEDIATELY. Failure to
pay in full by May 28, 1998 will leave us no choice
but to seek civil and criminal prosecution to the
fullest extent of Federal and State of California
laws. Please be aware that the amounts due are
accruing interest at the rate of 1.5% per month,
compounded monthly. In addition to recovery of the
full amount due and all interest accrued thereon
until date of final payment, please be aware that
we will seek compensatory and punitive damages
including, but not limited to attorney fees, court
costs and travel expenses. In case your company
does not have sufficient assets to satisfy monetary
damages awarded against it, please be aware that
Sheriff's liens may be recorded against your
personal property including, but not limited to,
real-estate, vehicles and other personal assets,
as well as garnisheeing of future income.

We hope that your company will pay all
debts, including the full amount owed to us,
in an ethical and professional manner.
