I tried a repair install, no joy. Then I did the fix described at

which is:
1) Click Start , click Run , type regedit , and then click OK .
2) Locate and then click the following registry subkey:
For 32-bit versions of Windows
HKEY_LOCAL_MACHINE\Software\Microsoft\Windows\CurrentVersion\Applets\Wordpad
3)On the Edit menu, point to New , and then click DWORD Value .
4)Type AllowConversion for the name of the DWORD, and then press ENTER.
5)Right-click AllowConversion , and then click Modify .
6)In the Value data box, type 1 , and then click OK .
Now Word opens the file without the message, but it's garbage characters.
