problem reinstalling Windows XP (netupgrd.dll)

Hello,

Following advice given by MS Knowledgebase Article 315341
(and others) -- ("Reinstall Windows XP by using Windows
XP"), I inserted the CD (in E:) and on the welcome screen,
chose "Install Windows XP".

This resulted in the error message:

"Cannot install windows XP at this time as setup is unable
to locate the file E:\i386\WINNTUPG\NETUPGRD.DLL"

Advice?

(Note the MS Knowledgebase has NO information on this
problem.)
