Alright i have the same problem,
I run XPSP2, I was wondering as to why this file will not install/update,
its failure affects other microsoft programs like Zune...

XP Pro .... MCE platform.
All other updates were OK.

Maybe we have a "Service" or two disabled that should be Started.
Disable "Automatic Updates" in the My Computer properties for awhile ,
and your system will not nag you to install KB973768 that will continue to
fail.

Referring to http://support.microsoft.com/kb/973768, in the "Applies To"
section (near the bottom of the page), update KB973768 applies only to XP
systems with MCE 2005 installed--not those with MCE 2002 (as my system has).
I'm guessing that the Windows Update checker is at fault, and is prescribing
this update based on invalid criteria (e.g., looking only for an MCE
installation, but not checking for MCE version).
Based on the above, if you have MCE 2002 installed, you could safely tell
Windows Update to ignore this particular update. To confirm this, right-click
on "My Computer" and select "Properties"--the dialog box will display your
Windows and MCE version.

There is often more than one update - for different products, or different
versions of products, affected by the same issue - associated with a single
security bulletin, and these updates may have different KB numbers. So there
isn't a 1:1 relationship between security bulletin numbers and update numbers.
I suggest you phone Microsoft for assistance with the problem you are having
installing the update. This is free of charge for home users (in some parts of
the world you may be required to pay for the phone call itself) and details are
in the KB article:

There's even no KB973768 for MCE 2002. It's for MCE 2005 *exclusive*.
If you aren't running MCE 2005, I would recommend to hide KB973768 on
the Windows/Microsoft Update site.
