When was the last time Automatic Updates worked at all? You've got a
quite-outdated version of WUAgent install.

This should get you sorted:

How to obtain the latest version of the Windows Update Agent [v7.4.7600.226]
to help manage updates on a computer:

I follwed the directions and tryed to do a manual intall (because tthe
automatic failed) of this file
http://download.windowsupdate.com/windowsupdate/redist/standalone/7.4.7600.226/windowsupdateagent30-x86.exe

and got an unrecoverable error message box.

The automatic updates have never worked since the box was fired up.

Any other thoughts or suggestions?

I think it is downloading 45 missed updates. Thanks for your help! It put me
on the right track. I will tryn to find the link and post it here later

0x800703EE ERROR_FILE_INVALID
System could not allocate the required space in a registry log;
The volume for a file has been externally altered so that the opened
file is no longer valid.

Have updates *ever* been applied to this system ?
Are you notified of available updates ?
What is the installed antivirus/security suite ?

See Mow's reply. I'd be pretty concerned about the overall security of that
Win2K box if I were you, especially since it needed so many updates!
