Which edition of Windows ?
What Service Pack level is it now on ?

For XP, *right* click My Computer either on the Desktop or Start Menu
and choose Properties. The information is under System:

For Vista \Win7, *right* click Computer either on the Desktop or Start
Menu and choose Properties. The information is under 'Windows edition'

0x8024D007 WU_E_SETUP_REGISTRATION_FAILED
Windows Update Agent could not be updated because regsvr32.exe returned
an error.

Suggest you clean boot the system to rule out interference from 3rd
party software (antivirus/security suite/firewall/etc):

How to configure Windows XP to start in a "clean boot" state
http://support.microsoft.com/kb/310353

If you feel comfortable doing the steps yourself, do
'Method 2: Manually starting XP with a clean boot (advanced user only)'.
Otherwise, use the Guided Help.

How to troubleshoot a problem by performing a clean boot in Windows
Vista or in Windows 7
http://support.microsoft.com/kb/929135

Do 'Step 1: Perform a clean boot'.

* Now check to see if the Windows firewall is enabled in Control Panel
IF a 3rd party firewall was being used. *

Once the system is in a clean boot state, go here:

How do I reset Windows Update components?
http://support.microsoft.com/kb/971058

Click the Fixit button.
When you're prompted to run or save the file, choose *save*.
Once MicrosoftFixit50202.msi finishes downloading, close all open
programs and browsers.

With the system connected to the internet, run MicrosoftFixit50202.msi
and choose the *Aggressive mode*. All of the operations it carries out
are listed in the KB article under " Let me fix it myself " heading.
When it's finished, restart the system and keep it in the clean boot state.

Now try to update again.
If the search for updates still fails, please copy&paste the *last* 50
or so lines of the WindowsUpdate.log into your reply:

How to read the Windowsupdate.log file
http://support.microsoft.com/kb/902093

IF the system *can* search for updates, UNdo the clean boot steps, and
do another search for updates. If it fails now then it's probably being
caused by the installed security software.

First off, I have to say that you, MowGreen, are a god at this technical
stuff. I have been reading a lot of your support and comments to this
particular error code. I followed your instructions in this thread
precisely, but during the Fix It stage, I ran into an odd problem. The
program stated that the BITS was uanble to start even though I have
administrative powers. I'll post my last 50 lines of my windows update log,
but i read the last few and it shows errors dealing with *.dll files. I
tried the knowledge base solution where it shows you how to register these
particular *.dll files, but this did not work either. Hope you can shed some
light on this ordeal...

What anti-virus application or security suite is installed and is your
subscription current? What anti-spyware applications (other than Defender)?
What third-party firewall (if any)?

Wow ... you're too kind, Enigmae. TY.
I'm more like an 'odd' than anything else. <w>

* What is the installed antivirus/security suite/3rd party firewall ? *

2009-11-19 23:26:26:484 3108 c34 Service FATAL: ChangeServiceConfig
failed with error 0x80070005
2009-11-19 23:26:26:484 3108 c34 Service FATAL: WU client fail to create
WU service with error 0x80070005

*If* the system was booted to a clean state then the above error is
occurring because the Permissions of the OS have been altered by the
security software or, in a worst case scenario, malware.
The service that's failing appears to be the Automatic Update service,
not BITS.

2009-11-19 23:26:26:515 3532 f1c Misc FATAL: Self registration of
C:\WINDOWS\system32\wuaueng.dll failed, error = 0x8024D007

And, it's failing because the wuaueng.dll fails to be registered.

2009-11-19 23:40:57:171 2592 4e8 COMAPI FATAL: Unable to connect to the
service (hr=80070002)

80070002 The system cannot find the file specified

2009-11-19 23:26:12:328 3532 f1c Setup Setup successfully copied MUI file
C:\WINDOWS\SoftwareDistribution\WebSetup\wuapi.dll.mui_en to
C:\WINDOWS\system32\SoftwareDistribution\Setup\ServiceStartup\wuapi.dll\7.4.7600.226\wuapi.dll.mui

Going by the above entry, the OS appears to be Windows XP, correct ?

Before resetting the file and registry permissions, it would be best to
scan the system for the presence of malware. Otherwise, the malware
would prevent the reset of Perms.
Download and *save*:

Malwarebytes Anti-malware (MBAM)
http://www.malwarebytes.org

Click the 'Download - free version' button.
Once the download completes close all open programs and browsers.
Install MBAM (mbam-setup.exe) and allow it to update during it's
installation.
Once MBAM is installed it should open. If not, open it.
Do a Quick scan of the system ( that's the Default setting ) by clicking
the Scan button.
When the scan is done click the Show results button.
A log will open with the scan results.
Please copy and paste that into your reply.

Now click the Remove selected button *if* anything was detected.
If MBAM detected something that can not be removed until the system is
restarted, then restart now.

Will await the scan result before recommending any further steps.

I am running McAfee Security Center, but it was disabled during the "clean
boot" state and the BITS did not start during this state. Also I am running
Windows XP Home Edition with SP3.

As to McAfee, please see:

You receive error code 0xC80001FE when try to connect to the Windows
Update Web site or to the Microsoft Update Web site to install updates
http://support.microsoft.com/kb/958048

Also: Virus scanning recommendations for computers that are running
Windows Server 2003, Windows 2000, Windows XP, or Windows Vista
http://support.microsoft.com/kb/822158

Suggest you first attempt to reset file and registry permissions that
were altered by McAfee:

Solving setup errors by using the SubInACL tool to repair file and
registry permissions
http://blogs.msdn.com/astebner/archive/2006/09/04/739820.aspx

Can the Automatic Updates service be stopped and started now ?
Can BITS be started and stopped now ?

IF BITS can not be started nor stopped, see if it can be restored by
running this tool in the clean boot state:

Windows XP Update BITS Fix
http://www.philmorgan.net/techie-tools/windows-update-bits-background-intelligent-transfer-service-fix-batch-file-for-windows-xp

BTW, running the Fixit in it's Aggressive mode while the system is clean
booted should have restored BITS. Althought the title of this KB does
not contain the specific error code you're seeing, it contains fairly
detailed steps that one can try to restore BITS:

You may receive an error message that contains the "0x8DDD0018" code or
the "0x80246008" code when you try to download updates from the
Microsoft Windows Update Web site or from the Microsoft Update Web site
http://support.microsoft.com/kb/910337

You may be looking at a Repair Install of XP if the damaged service(s)
can not be restored, Enigmae. IF you have the original XP installation
CD and retained a copy of SP3, then you can slipstream the two to
expedite the process:

Slipstreamed Windows XP CD Using SP3

And you would be replying to...?

Are you and "jenny" the same person?

When did you install McAfee Security Center? Is it a freebie or did you
purchase it? If the latter, when does your subscription expire? What
anti-virus application was installed before you installed McAfee Security
Center and was that subscription still current when you uninstalled it
before installing the McAfee application?

Ok good news is the SubInACL tool worked and I can now start Windows Update.
The bad news is that none of the updates succeed. I manually downloaded
three of them that were high priority, but the rest fail everytime without an
error code or reason.

Ignore my last post, that Windows XP Update BITS Fix link actually did the
trick and corrected my BITS files and got it working. Im not sure how I can
repay you MowGreen, but thank you so much for the awesome advice and
solutions...you rock!

You're mowst welcome, Engimae. Glad to hear that the updating issue has
been resolved. And, thank you for the compliment.
To prevent it from occuring again in the future, please see:
