I have an HP6830, and have the same problem. Sometimes it shuts down,
sometimes it doesn't (most of the times). I called the HP support, and
after an hour of trying to fix it, the guy gave up telling me that he
has to ask for advice with a senior tech, and gave me a case ID. By
trying around, I found that by running msconfig, and disabling
vnetsup.vxd at startup, it shuts down everytime. This is not what I
wanted, since vnetsup.vxd is used for Microsoft networking, but it
allowed the computer to shut down. If anybody else experienced this, or
is a known problem, please reply,

I tried moving the card to a different slot, playing with IRQs, etc., no
help. I gave up trying to get WinME to shutdown. I just wait a minute and
punch the power button, screw it anyhow....

Have you considered that the vendor of the NIC card may have failed to provide
hardware/software that is compatible with WinME?
Netgear FA310TX. They insist the the drivers I'm using are WinME compatible.
But whether the drivers are or are not compatible, doesn't change the
situation - it still seems to keep WinME from shutting down.
