That computer dates to the 1998 - 1999 time frame. It probably has a
350 mhz Pentium-II cpu, and between 128 to 256 mb ram. It has
integrated video (no AGP) with 4mb video ram.
It's a very low-performance machine, even by 2005 standards.
The question is not so much "can you upgrade" to XP. The question is -
is it worth it?
If you want to upgrade, here's what you do:
1) Obtain a Windows XP product key. The product key can be found on the
sticker that's stuck to most PC's. If a friend or family member has an
XP PC, then it should have a sticker with a product key on it. The
product key is a sequence of numbers and letters arranged as 5 groups of
5 characters in each group.
2) Obtain a Windows XP CD. Someone with a PC with XP might have a CD.
If not, you can actually download a Windows XP-SP3 CD from Microsoft.
It's a 550 mb ISO image file.
3) Get a new hard drive. If the hard drive in your PC is the original
drive, then it's a small miracle that it's still working. Hard drives
that are used every day have a theoretical life of about 5 years. Your
drive will not have much life left in it. Don't get anything larger
than 80 gb, because your PC will not be compatible with any drive larger
than 80 gb.
4) Add more ram. You should have at least 512 mb ram to run XP. If the
board will take it (odds are 50/50 it won't) then bring the ram up to 1
gb.
If you do all the above, then you should be able to install XP.
But I think it's a waste of time on that computer.

So you suggest this party STEALS the key from a friend [compromising
the legality of that friend's computer], and use another friend's XP CD
with the illegal key, or an illegal key with the supposed download from
Microsoft. Take your garbage back to the forums which support software
piracy...

There is no theft and there is no comprimising any existing
installation.

I would like you to proceed to take your head and shove it as far up
your arse as is possible.
And my advice to the OP still stands.
Look on the sides or the back of a PC with XP on it, write down the
product-key sequence, and use that product key for your new installation
of XP.
Use a digital camera (set it to macro mode) to take a picture of the
product-key sticker to you can enlarge and examine it closely at your
convienence.
