There is not enough memory to convert the drive.
Edit your Config.sys to remark [REM] some device drivers.
Edit your Autoexec.bat file to REM some memory-resident programs.
I have REM'd everything on everything, but I still get this message. Any

I don't think so. The MB doesn't look at the file system at all. Any
Windows system should be able to read a FAT16 partition. You shouldn't
need to convert at all.

You've already tried the free solution, and its not working for you.
Partition Magic (http://www.powerquest.com) gets high marks from
people who have used it. It will convert partitions from one file
system to another, resize and move partitions, all without losing
data. But it's not free.
Go to:
they have a FAT 32 converter called BootIt NG that i used a while back. It
worked great and I didn't lose any data. Chack it out, maybe it will help
you.
By the way, it's free for a thirty day trial but still does the conversion.

Restart the computer. Hold down the CTRL key while the
system is booting. This will take you to the Boot Menu then
select Command Prompt Only.
At a command prompt, type "cvt <drive>: /cvt32" (without the quotation
marks) and then press ENTER, where <drive> is the drive you want to
convert to the FAT32 file system.
Note:
A drive must be at least 512 megabytes (MB) in size to be converted
to the FAT32 file system.
