Gracious! You DO have a problem.

Modified from a message sent by Patty Free (Microsoft) --

Take a look at the Bootlog.txt and see what the last lines are
following a shutdown hang. This can give valuable information.

Some of the more common reasons for hanging at shutdown are
display drivers or other hardware not resetting and TSR
applications that won't terminate.

If the shutdown function works OK in safemode, or with the
standard VGA video driver, try turning off the video ROM
shadowing in the CMOS.

Try disabling (unchecking the 'Original Configuration (current)'
box) the driver properties for the hard disk controller in
Device Manager. Reboot and see if this helps.

Go to Control Panel, System, Device Manager, Advanced Power
Management. (It may be directly under Computer or it may be
under System, but not all systems will have this). Right click
on Advanced Power Management, select properties and disable the
'Original Configuration (current)' box. You will also need to
edit your CMOS and turn off this feature to test this.

Rename the CONFIG.SYS and AUTOEXEC.BAT to CONFIG.OLD and
AUTOEXEC.OLD, or edit them so that the only things loading are
absolutely necessary for the the computer to run. The latter
items might be a SCSI driver for the harddrive, or disk
management software for an EIDE drive. Deactivate anything else
by putting REM in front of that line.

Rename the WIN.INI and SYSTEM.INI, then make a copy of SYSTEM.CB
and name it SYSTEM.INI. Edit the new SYSTEM.INI and add this
line to the [386Enh] section:
device=*vmd
and these lines to the [boot] section:
drivers=mmsystem.dll
mouse.drv=mouse.drv

Remove anything in the Startup folder, and disable or uninstall
all utilities that are running TSR (such as Norton Navigator,
SoftRam or Macafee AV) even if they are written for Windows 95.

Reboot and try the shutdown again.

When your machine shuts down successfully, then add back in the
things that were disabled or removed (one at a time) until you
find the culprit (but you may have to be selective about what
loads in the [386Enh] section of your original SYSTEM.INI, and
the load= and run= lines of the [Windows] section in the
WIN.INI). When you have established what, exactly, the problem
is, contact the manufacturer of the troublesome device to see
whether they have an update that will resolve this problem
permanently.
