I have stumbled on a solution that did work for me and I wanted to share it
with others.
Go to the Account List screen. Right mouse click on one of the accounts
where downloaded transactions are not showing. Select "See Account History".
Once the chart has been displayed, click on the back button which should
take you back to the Account List. Then, left click on the account name
and, if you have the same results as me, your hidden transactions should
magically re-appear.
If this doesn't work, I have one other possible solution. On the Account
List, right mouse click on "Positions to Read:" for the account with hidden
transactions. Select the last item on the list - "Delete Statement". Then
try the above process of showing history. After that, download your
statements again and hopefully the unread transactions will show up.
I know this solution sounds strange but there must be something about the
"See Account History" procedure that fixes a problem with the data file.

Transactions don't show up until a background task is run after download is
all finished - you will see an "Updating account" message flash on the top -
once for each updated account. Sometimes, I've had to wait for 5 or 10
minutes before the transactions showed up. I have no idea how to force an
update to occur in the foreground... Of course if something stopped the
background task from running, that would cause a permanent problem...

Have you done this:
In Internet Explorer delete your browser temporary files with
Tools->InternetOptions->DeleteFiles.
Then in Money do File->RepairMoneyFile->QuickFileRepair
After an update, do you see an "Updating your Accounts" message flashing on
the upper right? You should see this for each account downloaded. Are you
waiting until it disappears? The other thing you might do is to look at the
task manager and make sure Money isn't burning CPU time - if it is, just
wait until it finishes.

Mine started happening near the end of November also.
My problem started with downloading from a web site (Bank of America, for
one) rather than from using the Money update function. However, after the
problem appeared in 4 accounts that I downloaded outside of Money, it started
happening with one of the accounts I update through Money.
I have been a Money user since it first came out. I upgrade regularly but
this is the first time I have ever had this problem. I really think it is a
program bug but I'm not sure how to go about getting it solved.
Did you try the last suggestion in my original email - to delete the
downloaded statement? That worked on 2 of my account but not on 2 others.
However, I still had to go the "See Account History" to get the transactions
to finally appear.

As I mentioned in my original email, I not only tried your solution but
tried everything I could think of including reinstalling the program,
starting over with no data at all, restoring an old data file. Nothing
worked until I tried the "Delete Statement" and the "Show Account History".
My problem started late in November, I think. From looking at all the posts
in the newsgroups of those having a similar problem, it seems to me that this
is a program bug. If I could reproduce it, I would pass it on to Microsoft
for correction.

I just remembered one other thing I did before my solution worked. With
Money 2006 closed, I went into c:\documents and settings\{username}\local
settings\temp\tmp_mny\tmp_0 and deleted the subfolder(s) and or file(s) that
were under it. I was looking within documents and settings for anything
related to my user name and Money. Maybe in the end, that had something to
do with the fix.
